THE ROLE:Join AMD’s legal team as a Sr. Corporate Counsel specializing in Mergers & Acquisitions (M&A), corporate matters, and securities law compliance. In this role, you will support major corporate transactions and ensure compliance with key regulations. You will partner with senior leadership and various teams across the company, playing a critical role in shaping AMD’s strategic initiatives. Collaboration is key, as you will work closely with various departments, including senior leadership and corporate strategy teams, communicating complex legal concepts in an accessible manner to foster cross-functional relationships.KEY RESPONSIBILITIES:M&A and Corporate TransactionsSupport M&A transactions, strategic investments, and other corporate transactions.Collaborate with the corporate strategy team to identify issues, support due diligence efforts, and review and comment on transaction documents.Actively manage deal processes and execution, including coordination with outside counsel.Provide legal counsel for post-closing acquisition and integration matters.Securities Law ComplianceAssist with securities law compliance and reporting.Review and prepare SEC filings, including Form 10-Ks, Form 10-Qs, Form 8-Ks, Proxy Statements, Section 16 filings, and other related documents.Ensure compliance with SEC regulations, Nasdaq rules, and other public company regulations.Corporate LawAdvise on general corporate law issues, providing day-to-day legal counsel to in-house clients such as corporate strategy, corporate finance (accounting, tax, and treasury), investor relations, corporate communications, and stock administration.Assist in managing corporate subsidiaries.Perform any other special assignments or projects, as needed.PREFERRED EXPERIENCE:Extensive experience in M&A, corporate, and securities law gained at a law firm and/or public company in-house legal department.Proven ability to manage multiple projects and prioritize tasks in a fast-paced environment.Demonstrated experience with SEC filings and compliance.Experience in the semiconductor or technology industry is a plus.ACADEMIC CREDENTIALS:J.D. from an accredited law school (preferred).Admitted to practice before a state bar and in good standing.LOCATION:Santa Clara, CA (Hybrid, 3-days a week onsite)
