Description

The Counsel will work closely with the Special Projects & Legal Operations Director in contract drafting and negotiations as well as oversight of corporate governance and corporate level record-keeping tasks. The position will work across verticals within NES including sales, project development, project contracts, acquisitions, and closings, asset management, finance, and general corporate contracts.

Preferably, the Counsel will be barred in Minnesota, Illinois, or Maine.What You'll Do:Negotiate, write, and execute agreements and contracts on behalf of NES:

Manage the execution of all legal documents required for project financing, loan closings, and other contracts as needed.

Draft and/or review Purchase and Sale Agreements, Letters of Intent, EPC Contracts, O&M contracts, and other contracts ancillary to the acquisition, financing, and ongoing management of distributed energy solar and storage projects. Enhance production efficiency of the same.

Complete due diligence review of project contracts, including power purchase agreements, real property documents, corporate governance documents, EPC contracts, O&M agreements, and other contracts ancillary to the development, construction, acquisition, financing, and management of distributed energy solar and storage projects.

Coordinate and manage the work of outside legal counsel as needed.

Assist the Director of Special Projects & Legal Operations in the training and development of fellow legal team employees.

Anticipate and mitigate potential legal problems within the organization and develop strategies to avoid costly litigation and reduce potential areas of risk.

Manage contract and financing facility post-closing compliance.

Oversee corporate governance and oversee litigation coordination with various outside counsels.

Advise Director of Special Projects & Legal Operations on contract status, legal risks, and liabilities associated with projects.

Coordinate relevant information across departments to execute necessary legal documents.

Serve as point of contact for legal matters.

What You'll Need:JD degree from an accredited institution.

Must be licensed in good standing.

Preferred licensing in states where NES completes work (MN, IL and/or ME).

3+ years of experience in renewable energy project finance, M&A, or energy development with solid understanding of partnerships/ joint ventures / tax equity contract structures.

Prior solar M&A experience

Experience drafting and negotiating contracts.

Proficient skills using the Microsoft Office suite including extensive SharePoint experience.

Proven experience leading and developing a legal team.

Exceptional verbal and writing communication skills with superiors, peers, partners, and other stakeholders.

Excellent interpersonal skills while managing multiple priorities in a fast-paced and ever- changing environment.

Bonus Points:Barred in Minnesota, Illinois, or Maine.

Experience with Procore, or similar construction management software.

Experience with SmartSheets.

Ability to build positive relationships and partnerships across the organization.

Ability to prioritize and multi-task various and conflicting responsibilities.

Ability to handle and protect confidential and sensitive information.

Ability to work full-time and independently within a team-oriented environment.

Exceptional customer service and interpersonal skills.
