The Vice President, Corporate Controller is a key leadership position at Suntuity Renewables. We are looking for someone with a growth mindset who is hungry and eager to help our fast-growing, privately held electrification business scale and prepare for life as a publicly traded company.Reporting directly to the CFO, the General Counsel will work closely with the Executive Team in contract drafting and negotiations as well as oversight of corporate governance and corporate level record-keeping tasks. It is anticipated that the General Counsel would, over time, build a legal team which may include associate attorneys and paralegals. The ideal candidate will have previous IPO and/or public listing company experience, while being comfortable managing team leads and professionals spanning various topics and processes.This position can be remote, but preference will be given to candidates with proximity to the CFO (UT) and company headquarters (NJ).WHAT YOU’LL BE RESPONSIBLE FOR:

Coordinating work of outside legal counselAssist with formation of new entities, drafting operating agreements and resolutionsReview tax equity and finance documents to identify potential risks / opportunities and work with the business team and external counsel to ensure that the commercial terms are accurately capturedDue diligence review of project contracts, including power purchase agreements, real property documents, corporate governance documents, EPC contracts, O&M agreements, and other contracts ancillary to the development, construction, acquisition, financing, and management of distributed energy solar and storage projectsAnalyzing and summarizing complicated transactional documents and advising senior management and internal business teams about the related legal risksAnticipating and mitigating potential legal problems within the organization and developing strategies to avoid costly litigation and reduce potential areas of riskManaging contract complianceOversee corporate governanceAssist in Human Resource compliance for multi-state workforceWHAT WE’RE LOOKING FOR:

Law degree from an accredited law schoolMust be licensed in good standing and admitted to practice in relevant jurisdiction5+ years of experience in renewable energy project finance, M&A, or development – understanding of partnerships/ joint ventures / tax equity contract structures an advantageStrong attention to detail, analytical skills, judgment, enthusiasm and interpersonal skills together with the ability to manage multiple initiatives simultaneously in a dynamic, fast-paced international and multicultural environmentEntrepreneurial mindset with the ability to take ideas and run with them from concept to conclusionExceptional verbal and writing communication skills with superiors, peers, partners, and other stakeholdersExcellent interpersonal skills while managing multiple priorities in a fast-paced and ever-changing environmentBENEFITS:
