Posted Friday, June 28, 2024 at 5:00 AMThe Sr. Corporate Counsel role will provide legal support to the overall business of Two Harbors in a wide variety of contractual and business matters. The Sr. Corporate Counsel will join the company’s in-house legal department and provide legal counsel ranging from day-to-day matters to the support of larger strategic transactions and initiatives. The ideal candidate will enjoy working in a dynamic environment, demonstrate an ability to learn about the company’s business and take on new challenges, possess strong critical thinking and analytical skills, and offer creative and pragmatic solutions with respect to legal and business issues.ResponsibilitiesDraft and negotiate a wide array of general corporate agreements, including non-disclosure agreements, services agreements, license agreements and other commercial contracts;Work closely with the Contracts Procurement department to manage an active contracts pipeline, including prioritization and tracking of status with the business teams;Understand and analyze legal issues relating to a variety of issues that arise in the ordinary course of the company’s operations, including information and data security, protection of consumer and employee information, and limitations of liability, employment law, and other business or regulatory matters;Assist as necessary with the company’s business operations, including drafting and negotiating term sheets, purchase and sale agreements, trading agreements, engagement letters, custodial agreements, and various related documents;Provide legal support for other corporate and business initiatives as necessary.QualificationsJD from an ABA accredited law school and excellent academic credentials;State Bar membership in one or more states;10+ years of corporate and/or transactional law experience;Strong legal and technical skills in drafting and negotiating contracts;Excellent oral and written communication skills;Attention to detail and the ability to manage a high volume of contractual matters;Ability to work effectively in a fast-paced, dynamic and complex environment;Desire to learn and become proficient in new and diverse subject matters;Versatility, maturity and ability to work both independently and as part of a team.Two Harbors Investment Corp.
