Job Description:

We are seeking a dedicated Legal Counsel to join our growing team in San Juan Capistrano. This full-time position is ideal for a legal professional with 5+ years of experience, including 2-3 years at a major law firm. The role will focus on providing comprehensive legal support in areas such as contract management, litigation oversight, risk management, and legal strategy, particularly within the context of project finance and renewable energy initiatives. This is a unique opportunity to grow into a General Counsel position, working closely with senior management and the deal team.

What you get to do:

Contract Management:

Draft, review, and negotiate a variety of agreements, including project development contracts, supply agreements, and financing documents.

Transactional Work:

Provide legal support for transactions, focusing on project finance, tax equity structures, and construction-related agreements.

Collaboration with Deal Team:

Work closely with the deal team to ensure legal aspects of transactions are effectively managed.

Legal Strategy and Advisory:

Develop and implement legal strategies aligned with business goals in the renewable energy sector.

Litigation Oversight:

Manage litigation matters, working closely with third-party external counsel to protect company interests.

Risk Management:

Identify and mitigate legal risks associated with transactions and operations in the renewable energy industry.

Corporate Governance:

Ensure compliance with corporate governance standards and regulatory requirements.

This role is positioned as a stepping stone to a General Counsel position within the company.

What you bring to the role:

Education:

Juris Doctor (J.D.) degree from an accredited law school.

Experience:

Minimum of 5 years of legal experience, including 2-3 years at a major law firm (Big Law).

Strong background in project finance with experience in preferred industries such as construction, real estate development, renewable energy, or oil & gas sectors.

Familiarity with tax equity structures and renewable energy incentives is highly preferred.

Skills:

Proven ability to manage complex transactions and work closely with a deal team.

Experience in contract management, litigation oversight, and risk management.

Strong understanding of regulatory frameworks affecting renewable energy projects.

Excellent communication and negotiation skills.
