The ideal candidate will be instrumental in providing legal guidance and support to corporate clients, ensuring compliance with laws and regulations, and facilitating successful business transactions. The firm offers a competitive benefits package, including a 401(k) retirement plan, health and dental contributions, subsidized gym membership, and disability coverage.Duties and Responsibilities:Advise clients on corporate law matters, with a strong focus on M&A and private equity transactions.Draft, review, and negotiate complex contracts and agreements related to mergers, acquisitions, and equity investments.Conduct thorough due diligence to identify and mitigate potential risks in transactions.Collaborate with other attorneys, financial advisors, and stakeholders to ensure seamless transaction processes.Provide strategic legal counsel to clients on corporate governance, compliance, and regulatory issues.Represent clients in negotiations, meetings, and discussions with third parties and regulatory bodies.Stay current with legal developments, industry trends, and best practices in corporate law.Mentor and guide junior attorneys and legal staff within the firm.Develop and maintain strong client relationships to promote business development and client retention.Requirements:Minimum of 20 years of experience as a Corporate Attorney, with significant exposure to M&A and private equity.Proven track record of handling complex corporate transactions and legal matters.Strong analytical skills and the ability to assess and manage legal risks effectively.Excellent negotiation, communication, and interpersonal skills.Ability to work independently and as part of a team in a fast-paced, dynamic environment.Strong commitment to client service and ethical legal practice.Education and Certifications:Juris Doctor (JD) degree from an accredited law school.Admission to the state bar of Indiana, in good standing.Additional certifications in corporate law, M&A, or related fields are advantageous.Skills:Deep knowledge of corporate law, M&A, and private equity regulations.Proficiency in legal research, writing, and documentation.Exceptional problem-solving and decision-making abilities.Ability to manage multiple projects and meet tight deadlines.Strong leadership and mentorship capabilities.Proficiency with legal software and Microsoft Office Suite.
