At OSJL, we are committed to providing exceptional value to our customers while championing positive change in our communities and inspiring a more responsible model for retail.Job Description:The Corporate Counsel will lead and assist the General Counsel, Associate General Counsel and other Corporate Counsel at the Company in the provision of all legal work for the Company. Familiarity with corporate law, real estate law and/or litigation is preferred, but not required. The Corporate Counsel will also work closely with the Company’s outside counsel in all legal matters that are outsourced.Key Responsibilities:The Corporate Counsel role provides legal advice to the Company on a variety of matters, including, but not limited to:Negotiate, review and enforce contracts for the CompanyAdvise the Company on other regulatory, licensing and permitting mattersAdvise the Company on general liability and workers’ compensation matters, and work with the Company’s risk management department and outside counsel in determining strategy for cases and settlement possibilitiesAdvise the Company on intellectual property, product and advertising issuesAdvise the Company on all labor and employment matters, including, but not limited to, Company policies and procedures, FMLA, ADA, workers’ compensation, and discrimination and sexual harassment issuesAdvise the Company on benefit matters, including ERISA, wellness programs and 401k plansAdvise the Company on real estate matters, including purchase and sale agreements, due diligence and closings for new store locations and investment real estate, drafting tenant leases, tenant defaults, collections and evictions. Advise the Company on issues with its landlords, including CAM issues, landlord maintenance issues and landlord disputesManage outside counsel on outsourced litigation mattersEffectively utilize virtual means to communicate efficiently and work independently under remote conditions as applicableQualifications:Admission in one or more bars of the States of Rhode Island, Massachusetts and/or Connecticut is required and willingness to take additional bar exams as desired by the Company is encouraged, including the States of Maine, New Hampshire, New York, New Jersey, Pennsylvania and/or Vermont.3-5 years of experience in a legal environment is required.Proficiency in drafting and editing contracts is required.Experience with general liability and workers compensation matters is preferred.Ability to work in a fast-paced, changing environment, as a member of a team, and ability to effectively manage multiple projects and priorities is required.Willingness to expand knowledge base to additional legal areas is required.Proficient with Google platform (i.e. Sites, Slides, Drive, Docs, Sheets).Work Environment:Work primarily in the company locations, in a climate-controlled environment with minimal safety/health hazard potential.
