This position will include providing legal support for corporate transactions including mergers, acquisitions, divestitures, investments, vendor agreements, and reinsurance agreements, with an emphasis on reinsurance work. In addition, the position includes providing legal support on insurance projects and regulatory issues, as needed. This individual will work closely with various members of the legal department as well as other cross-functional groups. The position is located at Allianz Life's corporate headquarters in Minneapolis, Minnesota. It is anticipated that this role will be working in a hybrid environment with approximately 60% of time spent in the office.What you do:

Provide high-quality legal services on a timely and cost-efficient basisManage and provide legal support for corporate transactions, including mergers, acquisitions, and divestituresSupport negotiation, drafting, and review of reinsurance agreements, investment agreements, and vendor agreementsActively participate as the legal representative on core project teamsAssist with corporate governance and operational matters related to corporate transactionsAdvise on legal and regulatory requirements, corporate policies and procedures, best practices, and strategies for managing risk as part of a multi-national organizationAnalyze business plans and initiatives to identify legal risks, and advise clients on findings and mitigation strategies, including completing legal research related to plans and initiativesPrepare memoranda, legal agreements, regulatory filings, and other documentsWork cross-functionally with other attorneys to provide holistic legal adviceDirect and coordinate outside counsel as neededWhat you bring:

Law degree from ABA accredited law schoolLicensed to practice in Minnesota (or qualify to waive in)4+ years of experience with a Law Firm, Governmental or Administrative Agency or as in-house counsel4+ years of experience in corporate transactionsExperience in advising on general corporate governance mattersDetail oriented self-starter with strong organizational, communication, and interpersonal skillsInquisitive with an ability to navigate complicated and nuanced issuesWillingness to learn and expand legal knowledge in unanticipated areas and take on new challengesAbility to manage and prioritize multiple projectsPreferred Qualification

Experience at a Law firm, Governmental or Administrative Agency and/or as in-house counsel working with insurance or financial services companiesBroad transaction experience representing various companies on a wide range of corporate transactions, including mergers and acquisitions, corporate governance, commercial transactions, and vendor contractingFamiliarity or experience in reviewing, drafting and negotiation of life and annuity reinsurance agreementsExperience in investment transactions, particularly in minority investments in early growth stage companiesWhat we offer:At Allianz Life, we're proud to provide a benefits package that supports the True Balance of our employees and their families.
