Senior Corporate Attorney

A law firm in St. Louis is seeking a Senior Corporate Attorney with substantial experience in business law, complex commercial transactions, securities law, tax, M&A, and/or corporate restructurings. The ideal candidate should have the ability to manage multiple projects independently, provide practical client counseling, and possess critical-thinking, drafting, and problem-solving skills. Strong academic credentials, a willingness to accept responsibility, and a commitment to client service and professional excellence are essential.Duties:Provide legal advice and support on a wide range of corporate mattersDraft and negotiate complex commercial agreements, including mergers and acquisitions, joint ventures, and financing transactionsAdvise clients on securities law compliance, disclosure requirements, and corporate governance mattersAssist with corporate restructurings, including mergers, spin-offs, and asset salesConduct due diligence reviews and risk assessments for corporate transactionsCollaborate with clients and internal stakeholders to develop strategic solutions to legal issuesKeep abreast of developments in corporate law and regulationsMentor and supervise junior attorneys and legal staff as neededRequirements:Juris Doctor (J.D.) degree from an accredited law schoolAdmission to the state Bar association in good standing8+ years of experience practicing corporate law at a law firm or in-house legal departmentExtensive experience in business law, complex commercial transactions, securities law, tax, M&A, and/or corporate restructuringsStrong analytical and problem-solving skillsExcellent drafting, negotiation, and communication skillsAbility to manage multiple projects simultaneously and work effectively under pressureCommitment to professionalism, integrity, and client serviceEducation:Juris Doctor (J.D.) degree from an accredited law schoolCertifications:Admission to the state Bar association in good standingSkills:Business law and corporate governanceComplex commercial transactionsSecurities law complianceMergers and acquisitionsTax law and corporate restructuringLegal research and analysisDrafting and negotiationClient counseling and relationship managementLeadership and mentoring
