A law firm in Seattle is seeking a General Corporate Attorney with 3-5 years of experience. The ideal candidate will have a strong background in representing high-growth businesses, including those in technology and life sciences, in various corporate matters. This role requires significant experience in venture capital financings, public offerings, mergers and acquisitions, and general corporate matters. A high level of academic achievement and prior experience in the corporate department of a national or international law firm are essential.Key Responsibilities:Represent high-growth businesses in venture capital financings, public offerings, mergers and acquisitions, and general corporate matters.Provide legal counsel and strategic advice to technology, life sciences, and other high-growth companies.Draft and negotiate complex agreements, including investment and acquisition agreements.Conduct due diligence and assist with transaction structuring.Manage and coordinate with clients, regulatory bodies, and other stakeholders to ensure compliance and successful outcomes.Advise on corporate governance, compliance, and risk management issues.Collaborate with other attorneys and practice groups to deliver comprehensive legal solutions.Maintain up-to-date knowledge of industry trends and legal developments affecting corporate clients.Requirements:3-5 years of general corporate experience involving public and private companies.Prior experience in the corporate department of a national or international law firm.Proven track record in handling venture capital financings, public offerings, mergers and acquisitions.Strong background in advising high-growth businesses in technology, life sciences, and other sectors.High level of academic achievement from a nationally recognized law school.Education:Juris Doctor (JD) degree from an accredited law school.Certifications:Admission to the Bar in the state where the candidate will be practicing (Washington).Skills and Abilities:Excellent drafting, negotiation, and analytical skills.Strong understanding of corporate finance, securities regulations, and M&A transactions.Ability to manage complex transactions and provide strategic legal advice.High level of professionalism and attention to detail.Exceptional communication and interpersonal skills.Strong organizational and time-management abilities.Proven ability to work collaboratively with clients and colleagues.Location:Seattle, WABenefits Offered:Full range of elective benefits, including medical, health savings account (with applicable medical plan), dental, vision, and flexible spending accounts.Life insurance, AD&D, long-term care coverage, and backup care for children and/or adults.Firm-paid life insurance, AD&D, long-term disability, and short-term medical benefits.Accruing vacation time at the rate of four weeks per year and sick time at the rate of two weeks per year.
