Job Duties:

Associate with Goldman Sachs & Co. LLC in San Francisco, California. Perform deep-dive valuation and other financial analyses during buy-side or sell-side M&A or financing processes to present to corporates, financial sponsors, and private clients. Analyze accounting and regulatory statements, debt and equity filings and documents, financial projections, and models to support analyses. Work with the industry coverage group, interact and coordinate with clients and other groups within the Firm to execute financial transactions, which includes interacting with client management or potential buyers and investors. Analyze financial statements and projections, conduct due diligence, draft financing or marketing materials, and assist in the preparation of debt, equity, or merger filings and regulatory documents (including SEC-filed documents, press releases, and merger proxies). Work closely with Managing Directors, Vice Presidents, Associates, and Analysts in the Firm, including day-to-day interaction with senior and junior bankers relating to the preparation of financial exhibits, marketing documents, and information memorandums for clients. Prepare and deliver presentations and pitches to a wide range of executives in the technology, media, and telecommunications industry on topics including strategic alternatives, capital structure, potential M&A and financing transactions, and industry trends. Draft financing and marketing materials to assist clients in their presentation to potential buyers of the company or their securities and other relevant third parties. Work on all aspects of financial modeling and assist in the creation and review of legal documents that detail the structure of the transaction. Attend due diligence sessions with senior executives at a company's facilities, or with suppliers, customers, and other related parties to evaluate the veracity of a company's business model and end market, historical and projected financial performance, and other factors. Mentor and train junior investment banking associates and analysts.

Job Requirements:

Bachelor's degree (U.S. or foreign equivalent) in Economics, Finance, Business Administration, or a related field and two (2) years of experience in the job offered or in a related role. Prior experience must include two (2) years with the following: structuring, analyzing, and executing transactions over $100 million on behalf of companies in the technology, media, and telecom industry, including IPOs, equity offerings, and debt offerings; performing valuation analyses for companies in the technology, media, and telecommunications sector, including discounted cash flow analysis, leveraged buyout analysis, accretion, dilution and ability-to-pay analysis, public trading comparables, precedent transactions, and sum-of-the-parts analysis; performing detailed quantitative analysis of databases, synthesizing, and analyzing research from a variety of sources (including 8Ks, 10Ks, proxies, and Wall Street analyst research reports) to develop presentations to and for clients; developing client overview materials, strategic considerations, and marketing materials for organizations to convey their key attributes to investors and other parties; engaging in dialogue and liaising with other senior bankers, clients, and tax, legal and product experts to execute projects, provide updates and prepare presentation materials as it relates to equity and debt underwriting and mergers and acquisitions; and leading live deal execution, including running due diligence processes, negotiating non-disclosure agreements and other legal documents with lawyers and potential buyers, organizing, and attending deal and non-deal roadshows, and liaising with investment banks. FINRA Series 79 license required. Travel is required 20% of the time to attend client meetings (both domestic and international). Travel costs covered by the Firm.

Salary Range:

The expected annual base salary for this San Francisco, California, United States-based position is $134,000 - $225,000. In addition, you may be eligible for a discretionary bonus if you are an active employee as of fiscal year-end.
