Job Description

The Senior Managing Counsel, Corporate Governance will be a key member of the Corporate Secretary function, reporting directly to the VP, Deputy General Counsel and Corporate Secretary and serving as a business-oriented legal advisor and counselor on issues of importance to the company. The Senior Managing Counsel will provide first-class legal support with respect to corporate governance, as well as broader corporate matters, including subsidiary management. They will coach, lead, and develop a team of attorneys and legal professionals.

Key Responsibilities:

Assess compliance with SEC and NYSE corporate governance requirements, including director independence and related party transactions; create and maintain corporate governance policies and guidelines.

Develop materials for The Allstate Corporation's Nominating and Governance Committee and the Board of Directors.

Lead preparation and execution of The Allstate Corporation’s annual meeting and award-winning proxy statement; maintain detailed familiarity with SEC proxy rules and NYSE requirements.

Monitor best practices for public company corporate governance, including shareholder engagement, disclosure, Board evaluation, director education; develop and communicate tailored recommendations to executives.

Oversee subsidiary governance & maintenance, ensuring compliance with legal and regulatory requirements, while providing expert legal counsel and guidance to support effective business operations.

Proactively lead, manage, and coach a team of attorneys and paraprofessionals.

Collaborate with subject matter experts and leaders across the company, including securities, executive compensation, accounting, sustainability, and investor relations.

Supervisory Responsibilities:

This job has supervisory duties.

Education & Experience:

4-year Bachelor’s degree (Preferred).

10 or more years of experience (Preferred).

In lieu of the above education requirements, an equivalent combination of education and experience may be considered.

Certifications, Licenses, Registrations:

Member in good standing of state bar.

Functional Skills:

Computer skills including MS Office suite, used in or related to the tasks performed.

Has corporate law experience within a reputable law firm and/or an in-house legal department for U.S. publicly traded company.

Budget management skills.

Project management skills and law firm/vendor management experience.

Compensation:

Compensation offered for this role is $220,500.00 - 279,562.50 annually and is based on experience and qualifications.
