This role involves supporting the team on a broad range of transactions, including M&A support, and drafting various commercial and technology agreements. The position offers exposure to a diverse range of industries and deals firm-wide, with close mentoring from senior attorneys and partners. The ideal candidate will have strong technology transactions experience, outstanding academic credentials, and a technical degree.Duties and ResponsibilitiesSupport the team on various technology transactions, including mergers and acquisitions (M&A) and other commercial agreements.Draft, review, and negotiate a wide range of commercial and technology agreements, including licensing agreements, service contracts, and partnership agreements.Provide legal support and expertise on transactions involving technology and intellectual property.Collaborate with clients and internal teams to address legal and business issues in technology transactions.Conduct due diligence and prepare legal analyses related to technology transactions and M&A deals.Stay current with legal and industry trends related to technology, life sciences, and intellectual property.Work closely with senior attorneys and partners, receiving mentoring and guidance on complex matters.Manage multiple transactions simultaneously, ensuring timely and effective resolution of legal issues.Communicate clearly and effectively with clients and colleagues, providing high-quality legal advice and support.RequirementsJuris Doctor (JD) degree from an accredited law school.Admission to practice law in California.Outstanding academic credentials.Technical degree (e.g., Computer Science, Engineering, or related field) is required.Experience in technology transactions.Experience with life sciences transactions and patent law is preferred.Proven ability to draft and negotiate complex commercial and technology agreements.Experience supporting M&A transactions is highly desirable.Strong research, writing, and analytical skills.Excellent communication and interpersonal skills.Ability to work effectively as part of a team and manage multiple projects.SkillsExpertise in technology transactions and commercial agreements.Proficiency in drafting and negotiating licensing and service agreements.Strong understanding of intellectual property and technology-related legal issues.Knowledge of life sciences transactions and patent law is a plus.Exceptional research and analytical abilities.Excellent written and verbal communication skills.Strong organizational and time-management skills.Ability to work collaboratively with senior attorneys and partners.Benefits OfferedCompetitive salary and performance-based bonuses.Comprehensive medical, dental, and vision coverage.Flexible spending accounts (FSA).Life insurance.Short-term and long-term disability insurance.401(k) retirement plan with employer contributions.Paid Time Off, Wellness Leave, Parental Leave, and Bereavement Leave.
