The ideal candidate will have substantial experience managing and negotiating debt finance transactions and will be responsible for drafting, reviewing, and negotiating commitment letters, term sheets, and loan documentation. The role involves managing deal teams, conducting due diligence, and providing direct support to senior lawyers on a range of finance matters. This position offers the opportunity to gain diverse experience in multi-jurisdictional transactions and work with a range of finance partners and teams across different offices.Duties and Responsibilities:Draft, review, and negotiate commitment letters, term sheets, primary loan and security documentation, and ancillary deliverables.Prepare and review issues lists and summary grids.Conduct legal research as required by client needs.Manage deal teams and processes from initial discussions through closing and post-closing matters.Oversee and conduct due diligence.Serve as the primary point of contact for clients, opposing counsel, and other transactional legal teams.Assist clients with ongoing deal administration, including joinders, amendments, interpretive questions, and collateral matters.Provide direct assistance to senior lawyers on matters arising in the course of day-to-day legal services.Attend and present at educational seminars.Exercise good judgment in internal and external communications, both written and verbal.Mentor and train junior team members.Participate in continuing education classes and client development initiatives.Requirements:Substantive experience managing and negotiating debt finance transactions.Strong academic credentials and genuine interest in domestic and cross-border financing transactions.Preferred experience includes sponsored finance, syndicated lending, acquisition/leveraged finance (borrower side), direct lending, and private credit transactions; experience with fund finance is a plus.2+ years of debt finance experience.Fluency in Spanish is a plus.Admitted to the Bar and in good standing.Education and Certifications:Juris Doctor (JD) degree from an accredited law school.Admission to the Bar in good standing.Skills:Strong drafting skills and intellectual curiosity.Outstanding communication skills with a client service focus.Excellent time management skills and ability to stay calm under pressure when juggling multiple projects.Commercial and business awareness with strong professional presence.Creative thinker with proactive, resourceful, and initiative-taking abilities.Team player with strong judgment and a drive for professional growth.Benefits Offered:Comprehensive suite of benefit programs including medical, dental, and vision insurance.Life and disability coverage.401(k) retirement savings plan.Vacation time and leave programs, including parental leave.Company infoBCG Attorney Search801 Brickell Avenue, Suite 900MiamiFloridaUnited States 33131Phone :
