The successful candidate will have at least 2 years of experience in debt finance transactions. This role requires expertise in drafting, reviewing, and negotiating commitment letters, term sheets, and loan documentation, as well as managing deal teams and processes. The position demands excellent academic credentials, strong communication skills, and a genuine interest in both domestic and cross-border financing transactions.Key Responsibilities:

Draft, review, and negotiate commitment letters, term sheets, primary loan and security documentation, and ancillary deliverables.Prepare and review issues lists and summary grids to ensure clarity and completeness of transaction documentation.Conduct legal research as needed to address client-specific needs and transaction complexities.Manage deal teams and oversee all phases of transactions from initial discussions through closing and post-closing matters.Conduct and manage due diligence processes to verify transaction details and mitigate risks.Act as the primary point of contact for clients, opposing counsel, and other transactional legal teams.Assist clients with ongoing deal administration, including handling joinders, amendments, interpretive questions, and collateral matters.Provide direct support to senior lawyers in managing day-to-day legal services for international and domestic corporate clients.Attend and present at educational seminars to enhance professional knowledge and contribute to client development.Exercise sound judgment in all internal and external communications, both written and verbal.Mentor and train junior team members, and participate in continuing education classes and client development initiatives.Requirements:

Experience : Minimum of 2 years of experience in managing and negotiating debt finance transactions.Education : Juris Doctor (JD) degree from an accredited law school.Bar Admission : Admitted to the Bar and in good standing.Certifications:

Active and in good standing with the relevant state Bar association.Skills:

Proficient in drafting and negotiating complex debt finance documentation, including commitment letters and loan agreements.Strong legal research skills and ability to prepare comprehensive issues lists and summary grids.Outstanding communication skills, both verbal and written, with the ability to convey complex legal concepts clearly.Excellent time management skills, with the ability to handle multiple projects and remain calm under pressure.Strong drafting skills with attention to detail and accuracy.Driven by professional growth, with a proactive and resourceful approach to problem-solving.Commercial and business awareness with a client-focused attitude.Ability to work collaboratively as part of a team and mentor junior colleagues.Intellectual curiosity, creative thinking, and a strong professional presence.Fluency in Spanish is a plus.Experience with sponsored finance, syndicated lending, acquisition/leveraged finance (borrower side), and/or direct lending and private credit transactions preferred. Fund finance experience is a plus but not required.Job Location:
