The Counsel, Franchising & Real Estate, U.S., will be responsible for franchise and real estate matters in certain regions of the U.S. for Restaurant Brands International, Inc. The Counsel is a key member of the RBI Legal Franchise and Real Estate team and the main legal advisor to regional field operations staff including regional general managers. The Counsel will work closely with outside counsel and interact frequently with counsel for franchisees and landlords.Essential Duties:Drafting and negotiating franchise, development and ancillary agreements, as well as agreements for the acquisition or divestiture of restaurantsProviding franchise compliance legal advice, including drafting default and termination notices, drafting and negotiating workout agreements, temporary licensing agreements and attending to other related enforcement mattersProviding legal advice in connection with U.S. franchise sales and ensuring compliance with franchise regulatory requirements, including franchise disclosure, franchise relationship and other relevant laws.Drafting and negotiating real estate agreements, including purchase and sale agreements and lease agreementsProviding legal advice to Real Estate, Asset Management and Construction teams on real estate matters, including condemnations, construction and environmental mattersDraft and review real estate and franchising policies, including operational policies regulating franchiseesDeveloping training materials and conducting training of franchise and real estate personnelManage and oversee outside counsel with respect to franchising and real estate litigation.Qualifications & Skills:Juris Doctor degree from an accredited U.S. law school requiredLicensed to practice law in Florida or another stateKnowledge of real estate law (transactions as well as commercial leasing) requiredKnowledge of franchise and corporate law preferred4-8 years of legal experience, with law firm experience requiredTransactional experience with strong drafting and negotiating skillsStrong communication skillsDemonstrated ability to work effectively in multi-tasking environment with high volume workloadBenefits at all of our global offices are focused on physical, mental and financial wellness.
