External Description:

POSITION PURPOSE

We are hiring a Senior Legal Counsel to be a member of the Commercial Contracts team, a global team whose other members are based in London, Singapore, and the U.S. This lawyer will work from the legal department in T. Rowe Price’s offices in Owings Mills, MD with other lawyers from the Commercial Contracts team and where other lawyers provide a range of legal services to T. Rowe Price.

This position will report to Managing Legal Counsel on the Commercial Contracts team. The position provides counsel and advice on outsourcing, technology, and other supplier transactions for goods and services across the enterprise and for specific offices in the US and EMEA. It requires knowledge of general contract principles, and foundational understanding of applicable laws and regulations across relevant jurisdictions that impact these transactions including intellectual property, privacy/data protection, data governance, AI, cybersecurity, information governance and security, and other regulatory matters.

Principal Responsibilities

Provide advice and counsel on structuring, development, and implementation of commercial transactions, including technology transactions, cloud computing and software services, website and app development, reseller services, outsourcing services, consulting services, other professional services, benefit agreements, data licensing, content licensing, facilities, construction, real estate, and more.

Collaborate with T. Rowe Price business team associates from all areas of the firm with a range of seniority, subject matter experts, risk associates, and leadership as necessary.

Take responsibility for preparing bespoke templates and reviewing, drafting, and negotiating standard and customized supplier contracts, from RFX to termination, including all related documents, for goods and services.

Adeptly and proactively identify and escalate issues and provide risk-based recommendations and advice within strategic business conversations.

Analyze and remediate legacy legal documents for conformance with developments in applicable laws and regulations and current internal policies and procedures.

Take responsibility for providing legal advice and counsel on issues arising from existing contracts, including compliance with contract terms, termination or renewal.

Draft termination letters and advise and assist with negotiations to resolve contract disputes with third parties.

Take responsibility for training procurement and business team colleagues on use of templates and updates in legal and regulatory matters.

Assist in the development of policies, processes, and procedures to govern the supplier contract lifecycle, intellectual property protection and compliance, and risk management.

Provide work guidance and mentoring to less experienced attorneys or other legal department colleagues.

PERSONAL ATTRIBUTES / SKILLS / QUALIFICATIONS

Required:

JD required

5+ years of total relevant work experience.

Strong drafting and negotiating experience of IT and complex general commercial contracts.

This role requires strong skills in working independently and when required collaborating with other team members to complete tasks and projects.

Ability to handle heavy workload under tight timeframes, working independently and prioritize appropriately.

Good verbal and written presentational skills.

Analytical skills allied with creative thinking.

Excellent interpersonal and influencing skills.

Proactive in day to day responsibilities.

Primarily English speaking.

Preferred:

Experience of working with vendors providing solutions to human resources teams.

Experience negotiating complex commercial transactions for outsourcing information technology services.

Experience working with vendors providing solutions to the marketing teams.

Experience of applicable market, legal and regulatory environment impacting and informing the range of transactions, including specifically privacy/data protection terms required or customary in supplier contracts involving personal data.

Experience of working in a regulated financial services firm.

Additional languages are desirable but not required.

Project management capabilities.

FINRA Requirements

FINRA licenses are not required and will not be supported for this role.

Work Flexibility

This role is eligible for hybrid work (up to three days a week onsite).
