In this role, you will be the legal point person on key public company corporate initiatives and have primary responsibility for SEC legal compliance.

Reporting directly to departmental leadership, this role offers a unique blend of autonomy, collaboration, and the chance to work on high-profile projects that shape our global business. In this role, you will have direct regular interaction with Groupon’s senior business leaders including our Chief Financial Officer, outside General Counsel, and Chief Accounting Officer. Responsibilities:

Assist in the preparation of SEC filings, including Form 10-Ks, Form 10-Qs, Form 8-Ks, proxy statements and registration statements and other SEC and exchange compliance mattersLead the planning and project team for the annual meeting of stockholdersLead merger and acquisition activity, divestitures, strategic investments and other corporate transactionsNegotiate and draft agreements for M&A transactions, divestitures, strategic investments and other corporate transactions.Draft and manage Section 16 filingsDraft and assist with the preparation of board and committee meeting materialsLead global subsidiary management with cross-functional teams, draft corporate organizational documents and maintain corporate recordsAssist with general corporate and public company compliance matters and special projects as necessarySupport special corporate and securities projects, including offerings and investmentsPartner with global cross-functional teams including Communications, Investor Relations, Accounting, Treasury and Tax on various projects

Qualifications:

Minimum of 6 years of significant securities and capital markets experience required (in-house or at a law firm)A team player with an ability to collaborate effectively with cross-functional teamsProven track record of working independently and driving projects to completion with minimal supervisionFlexibility, self-starting attitude, and a strong work ethic, enabling you to thrive in a fast-paced and evolving environmentStrong organizational skills, allowing you to manage multiple projects simultaneouslyDemonstrated desire for personal growth and an eagerness to take on new challenges and responsibilities over timeExcellent written and oral communication skills, including the ability to present complex legal concepts clearly and concisely
