Essential Duties and Responsibilities

include the following (other duties may be assigned):

Attorney will handle various aspects of commercial real estate transactions, including negotiating LOIs and definitive transaction agreements, due diligence, closing and post-closing matters. Types of transactions will include: undeveloped land transactions, hospital and other healthcare development projects (new and expansion), acquisitions and dispositions, and leasing arrangements, as well as supporting activities related to any credit facility or indebtedness agreements, amendments, extensions, refinancing's, etc. and due diligence activities associated with same.

Attorney will have primary responsibility for real estate legal services relating to the day-to-day operations of the company’s affiliated hospitals, physician practices, surgery centers and other healthcare facilities, including lease administration, property management, construction and development projects, and related matters to ensure compliance with the company’s policies and applicable healthcare laws and regulations.

Attorney will review and address title and survey issues, zoning and encumbrance/restriction issues, environmental issues and other due diligence matters that arise in M&A and joint venture transactions.

Attorney will work closely with colleagues in the legal department and other internal corporate departments, including frequent contact with senior-level executives in the organization.

Attorney will be responsible for supervising and managing outside counsel and other third-party vendors ( g. , appraisers and property managers).

Qualifications:

Required Education/Licensure:

Juris Doctor (J.D.) and top academic credentials required.

Must have TN law license in good standing or the ability to become licensed in the State of TN within six (6) months of start date.

Required Experience:

Attorney must have a minimum of five (5) years of relevant real estate experience either with a law firm or in-house experience with a large corporation.

Must be able to work on multiple transactions/projects simultaneously, be well-organized, and be able to work independently.

In addition to the requisite experience, the ideal candidate will possess an extensive working knowledge of applicable healthcare laws and regulations.

Language Ability:

Ability to read, analyze, interpret and negotiate complex documents involved in real estate transactions. Must have excellent verbal and written communication skills.
