Sunnova Energy is seeking an experienced Tax Counsel to join the corporate/transactional section of its legal department. The Senior Tax Counsel will be a key leader within Sunnova's legal department, directly supporting the SVP, Dep General Counsel and Secretary developing and executing comprehensive tax strategies. This position will oversee all aspects of tax planning, including the strategic structuring of M&A transactions, ensuring compliance with tax regulations, and optimizing tax positions to support Sunnova’s growth initiatives. The role will also be responsible for managing tax audits, providing expert tax counsel, and conducting in-depth tax research to proactively identify and mitigate tax risks.Responsibilities

Expert Tax Advisory:

Provide precise and actionable tax technical and legal advice, focusing on tax equity structures, ITC transferability, and renewable energy tax matters.Effective Agreement Review:

Review and provide tax comments and drafting on commercial agreements and tax equity project agreements.Comprehensive Tax Research and Analysis:

Conduct in-depth research and analysis of complex tax issues.Proactive Tax Quality Control:

Establish and maintain rigorous tax quality control standards.Impactful Tax Law Monitoring:

Monitor changes in tax laws and communicate potential impacts.Collaborative Problem-Solving:

Identify potential tax issues and provide innovative, legally sound solutions.Interdepartmental Collaboration and External Engagement:

Facilitate collaboration with external counsel and internal departments.Minimum Requirements

Juris Doctorate (J.D.) from a U.S. law schoolA minimum of 7-10 years of tax planning experience and 3 years of tax legal research experienceStrong knowledge of Internal Revenue Code and Regulations and partnership tax experienceBar admission and member in good standing of State BarProven ability to review and provide tax-related input on commercial agreements and tax equity project agreements.Experience in researching and analyzing complex tax issues.History of maintaining high standards of tax quality control.Demonstrated ability to work collaboratively with external counsel and various internal departments.Working Conditions
