PRIMARY DUTIES:

Support intricate commercial transactions involving technology and data by:

  • Drafting, reviewing, and negotiating various complex agreements related to commercial and technology sectors, such as service contracts, SaaS agreements, software licenses and development agreements, and IT outsourcing contracts.
  • Conducting legal analysis, due diligence, and providing support on issues related to technology transactions, including intellectual property concerns.
  • Assisting in developing legal strategies to manage privacy and data security risks while ensuring adherence to relevant laws and regulations.
  • Contributing to the enhancement of standard agreements and legal processes.
  • Producing high-quality work and effectively communicating with all levels within the firm and with clients.
  • Demonstrating strong problem-solving abilities and enthusiasm for counseling within the client sector.
  • Exhibiting responsive, creative, and efficient work habits.
  • Continuously improving skills and seeking feedback for better performance and productivity.
  • Taking responsibility for professional development and seeking out both formal and informal training.
  • Building strong relationships with clients and within the firm and showing a long-term interest in networking and business development.

REQUIREMENTS:

  • 2 to 4 years of experience with complex commercial transactions in a law firm or corporate legal department, particularly in technology transactions and privacy.
  • Experience working across various industries including automotive, advanced manufacturing, fintech, and financial services.
  • Knowledgeable in Article 2 and Article 9 of the UCC and intellectual property law.
  • Capable of organizing and prioritizing multiple tasks under tight deadlines.
  • Excellent interpersonal, analytical, organizational, and communication skills (both written and verbal).
  • JD degree from an ABA-accredited institution.
  • Licensed attorney in Illinois or Michigan, or eligible for admission in either jurisdiction.
  • Willingness to travel as needed for client requirements.
