Salary: $120,000 - $200,000 per year

The company is seeking a full-time Senior Paralegal / Manager – Legal Operations to manage operations and administrative support for corporate, governance, and contracting activities within the Legal Team. The role involves supervising legal entity formation and maintenance, supporting corporate governance, maintaining corporate files, providing senior paralegal support, overseeing legal contracting processes, and managing compliance with various regulations. The ideal candidate is organized, proactive, and capable of handling multiple workstreams in a fast-paced environment, with opportunities for growth in responsibility.

Job Details

Supervise legal entity formation, management, and maintenance across multiple jurisdictions in the US and abroad.

Coordinate with local counsels and corporate secretaries to ensure subsidiaries' good standing.

Maintain corporate entity management systems, including corporate books and records.

Assist with board meeting preparations, including drafting consents/resolutions and reviewing meeting minutes.

Support the Legal and HR Teams with employee equity administration.

Act as a primary contact for leadership and the Board of Directors on legal matters, deadlines, and compliance.

Oversee outside counsel expense reporting and billing.

Manage and supervise the Legal Team Paralegal.

Organize and maintain corporate files.

Support corporate and financing transactions, including due diligence and securities law filings.

Manage cross-departmental projects involving HR, Tax, Accounting, and Finance.

Support legal operations to ensure high-quality legal services.

Handle contract processes, from drafting to execution and database management.

Support the Legal Team in maintaining a robust compliance program, including SEC filings and employee training.

Participate in internal committees and initiatives as determined by the General Counsel.

Perform legal research and assist with proofreading legal documents.

Execute additional duties as assigned by the General Counsel and Legal Team.
