The ideal candidate will have significant experience advising private foundations, charitable organizations, and philanthropists on a variety of complex legal and tax issues. The position involves working closely with nonprofit clients, advising on tax exemption, compliance, governance, and structuring various legal arrangements for tax-exempt entities.Key Responsibilities:

Advise private foundations and charitable organizations on complex legal and tax matters.Assist in forming and obtaining tax-exempt status for nonprofit corporations and charitable trusts.Guide grant agreements, tax compliance, and succession planning for private foundations.Advise philanthropists on charitable gifts, donor-advised funds, and philanthropic strategies.Counsel large 501(c)(3) organizations on corporate governance, tax exemption issues, and unrelated business taxable income (UBTI).Structure and negotiate mergers, affiliations, and joint ventures involving nonprofit entities.Provide legal advice on transactions and complex structures involving both for-profit and not-for-profit organizations.Represent tax-exempt organizations in federal and state audits related to tax and charitable matters.Requirements:

Experience in tax-exempt organizations and philanthropy law, with a focus on private foundations, charitable organizations, and nonprofit entities.Expertise in IRS tax exemption processes, corporate governance for nonprofits, UBTI, and tax compliance.Proven experience representing organizations in federal and state audits.Demonstrated ability to advise philanthropists on charitable giving strategies and use of donor-advised funds.Experience in structuring mergers, affiliations, joint ventures, and complex organizational structures involving tax-exempt and for-profit entities.Education and Certifications:

Juris Doctor (JD) degree from an accredited law school.Admission to the New Jersey State Bar in good standing (or the ability to waive in).Skills:

Strong analytical and problem-solving skills with a deep understanding of nonprofit tax and legal issues.Excellent written and verbal communication skills, with the ability to explain complex legal concepts to clients.Strong interpersonal skills and ability to work effectively in a team environment.Exceptional organizational skills and attention to detail.Ability to manage multiple clients and projects simultaneously, with a commitment to delivering high-quality legal work.
