The ideal candidate will have substantial expertise in advising private foundations, charitable organizations, and philanthropists on a broad spectrum of complex legal and tax-related matters. This position requires a strong foundation in nonprofit law, tax compliance, and corporate governance, particularly for large 501(c)(3) organizations. The successful candidate will also represent tax-exempt entities in audits and oversee intricate structures involving both for-profit and not-for-profit entities.Job Responsibilities:

Advise private foundations and charitable organizations on complex legal and tax matters.Form and obtain tax-exempt status for nonprofit corporations and charitable trusts.Counsel private foundations on grant agreements, tax compliance, and succession planning.Provide strategic advice to philanthropists on charitable giving, including the use of donor-advised funds.Guide large 501(c)(3) organizations on corporate governance, tax exemption issues, and Unrelated Business Taxable Income (UBTI) matters.Structure mergers, affiliations, and joint ventures for nonprofit organizations.Provide legal counsel on complex structures involving both for-profit and not-for-profit entities.Represent tax-exempt organizations in federal and state audits involving tax and charitable issues.Education and Certification Requirements:

Juris Doctor (J.D.) degree from an accredited law school.Active membership in good standing with the California State Bar (or the ability to waive in).Skills and Qualifications:
