External Overview

HVCU is looking for enthusiastic members to serve on various committees to support our organization. Working on a committee can be a source of personal and professional growth and will allow you to have an impact on the community which HVCU serves. Below is a list of our available committees and the attributes required for success. External Qualifications

Each volunteer must be at least 18 years oldEach candidate must be a member who has not caused a financial loss to the credit union and/or is not in denial of services.Each candidate must have a satisfactory credit check, a background check, a bondablity check, and must not have been convicted of a felony or a crime involving dishonesty or breach of trust, nor have been determined to be guilty of a fraudulent act by a legally constituted body.Candidates cannot have been an employee of Hudson Valley Credit Union within a minimum of two years from the application received date.Each candidate is prohibited from engaging in any act which is, or could be, or could appear to be in conflict with their status as a volunteer. This includes the use of one's position with the credit union for personal profit or advantage

External Responsibilities

The ideal committee member posses these key attributes;Strategic and creative thinker that believes in the sustainability of the HVCU brand, its mission, vision, values, its commitment to Diversity, Equity, Inclusion, and Belonging, and the impact HVCU has on the financial well-being of the communities we serve.Reliable contributor who is an active listener, pays attention to the details and engages critically, thoughtfully, and regularly.Strong work ethic with the ability to plan ahead yet is comfortable with ambiguity, adaptable to change, and supportive of fellow team members.Demonstrates curiosity and professional skepticism by asking meaningful and relevant questions, contributing proactively to the dialogue, and partnering with management and committee/ Board members to outline possible solutions.Willingness to learn, engage in the community and represent HVCU when and where appropriate.Ability to work through an equity focused lens to move our diversity, equity and inclusion work forward.Ability to think critically and cross-functionally about finance, operations, governance, and people management. (optional based on role)Excellent managerial and communication skills, including experience navigating and managing workplace conflict (optional based on role)Ability to work collaboratively across teams and surface meaningful insights (optional based on role)Ability to understand the fiduciary and legal responsibilities associated with volunteering for HVCU.Ability to communicate effectively, be an active listener and observer, and build rapport with candidates.Bylaws and Policies Sub-committee

Ability to understand the various risk and control factors set up to mitigate or limit risk to HVCU, and how those risks contribute to revenue or financial loss.Ability to understand the fiduciary and legal responsibilities associated with volunteering for HVCU.Understanding of the key features of effective governance, including applicable governance structures.Understanding of the role, responsibilities, and accountabilities of the Board of Directors, its committees, the Supervisory Committee, and executive management.Understanding of when to seek the advice of an independent legal, governance, credit union or similar advisor.Organizational policy experience is valued.Compensation & Benefits Committee

Experience designing and overseeing compensation and benefits programs, inclusive of health insurance, bonus structures, retirement plans, and other benefits, or experience supervising individuals carrying out such functionsAbility to analyze people data to ensure internal equity and map the organization's financial position to its pay and benefits offeringsUnderstanding of current labor rules and regulations and reporting requirements to ensure organizational complianceFamiliarity with policy development and organizational roll-outExperience with executive-level performance reviews, benefits, and compensation strategies.Governance Committee

Understanding of the key features of effective governance, including applicable governance structuresUnderstanding of the role, responsibilities, and accountabilities of the Board of Directors, its committees, the Supervisory Committee, and executive managementAbility to contribute to the design of appropriate governance and committee structures that are fit for purposeUnderstanding of when to seek the advice of an independent legal, governance, credit union or similar advisorPrior experience on a governing board or governance committee (especially in a cooperative association), or in a legal, compliance or fiduciary roleNominating Sub-Committee

Ability to communicate effectively, be an active listener and observer, and build rapport with candidates.Ability to spot potential, maintain objectivity, and identify strengths and gaps in candidate profiles, including internal and external biasesPrevious experience reviewing resumes, interviewing and evaluating candidates, and communicating the results of your assessmentsUnderstanding of the core principles of Diversity, equity, inclusion, and belonging and how to look for and apply those principles to the search and interview processPrior experience in one or more of the following disciplines: human resources, management, administration, organizational development and/or similar areas.Supervisory Committee

Experience in preparing, auditing, analyzing, or evaluating financial statements or experience supervising individuals carrying out such functions.Ability to recognize key risk factors within credit union financialsUnderstanding of internal controls and reporting required to mitigate riskExperience dealing with compliance protocols regarding state and federal rules and regulations.Experience and competencies in the following: Internal Audit and Risk Management; Accounting/Financial Reporting; Operational & Credit Risk Management; Cyber SecurityCPA, CA, CISA, or CFA designations would be useful and valuedLegal DutiesA volunteer of HVCU must adhere to the following legal duties in the performance of their roles:

The Duty of Care requires a volunteer to make decisions that pursue HVCU's and its members' interests with reasonable diligence and prudence.The Duty of Loyalty requires a volunteer to act in good faith, placing the interests of HVCU and its members before any of their personal interests, while avoiding conflicts of interest.Duty of Obedience requires a volunteer to remain faithful to HVCU's mission, vision, and values, including compliance with relevant federal, state, and local legal requirements, as well as approved policies and procedures of HVCU.The Duty of Confidentiality requires a volunteer to maintain the confidentiality of all non-public, proprietary, or sensitive information about HVCU that they are privy to by virtue of their position. A volunteer may not use any form of such information for their personal gain.

Time CommitmentAlthough there is not a minimum time commitment outside of regularly scheduled board and committee meetings, we do anticipate communication and engagement within and outside of regular business hours.
