Cvent is seeking a Vice President/Senior Director to its Legal department. This is a unique opportunity for a business-oriented attorney to serve in a leadership role on the Commercial Legal team. The successful candidate will work closely with our Sales team on a global basis, with responsibility for all aspects of the commercial contracting process, including preparing and negotiating SaaS agreements in support of our global sales organization and performing similar work with respect to vendor and service provider agreements for the procurement, technology and other business departments. This will necessitate partnering closely with all levels of the business, including Sales, Marketing, IT, Information Security, Procurement, Finance and Customer Service to help Cvent mitigate its risk and achieve its high-growth goals.

This individual will be expected to bring a high degree of contracts expertise to the position, and to rely on that expertise along with sound judgment and professionalism to operate independently and as part of a team. All work will require a "business" as well as a "legal" approach, requiring responsibilities and competencies in negotiation; structuring deals; validation of terms against commercial, industry and company norms; project management; and leading and helping manage the commercial team within the legal department. The individual in this role will have opportunities to expand and develop, including opportunities to handle compliance and other legal matters. This role is based at our Tysons headquarters.

In This Role, You Will:

CommercialAssist with management of the global team of commercial attorneys and legal professionalsSupport of other legal team members on customer contracts, training sessions and related projectsBe responsible for the Commercial Legal Team's KPIsReview, interpret, draft, revise and negotiate terms in Enterprise-level, SaaS customer contracts, specifically for Fortune 1000 clients and prospects, both domestically and internationally. Our goal is to move contracts to completion in as expeditious a manner as possible while staying focused on protecting the interests of the CompanyAnalyze, provide redlined recommendations, and provide input into the preparation and revision of contracts and subcontracts to ensure customer and corporate objectives are metAbility to lead a negotiation, understanding how to balance key risks and opportunities in order to obtain a mutually acceptable contract in a way that will not alienate customersRevise, update and maintain the master service, non-disclosure, and other standard form agreements and the Contracts Playbooks; perform regular internal reviews of existing legacy contracts, including reviews for legal and policy complianceWork closely with and advise sales leadership of contractual rights and obligations and provide clarification of contract terms and conditionsSupport Account Management, Billing and Legal personnel as necessary to:Manage contract renewal process and prepare improvements for sameTrack, draft and send contractually required notices/reportsTrack all contractually required product enhancements and service level requirementsSupport collections (e.g., investigate bankruptcy claims, prepare release forms)Partner with the Marketing Department on the legal aspects of its various initiatives and campaigns and Cvent's two largest user conferences, Cvent CONNECT US and Cvent CONNECT EuropeAssist with M&A transactions, including diligence, drafting NDAs and other relevant documents, as well as integration of acquisition targetsOther Responsibilities

Engage with Cvent's Technology team to ensure compliance with data security and privacy requirements enforced by various jurisdictions and customersAssist compliance function, including monitoring of applicable legislation and regulations pertaining to our company and industry and provide insights to internal teamsReview, maintain, update and implement corporate policiesAssist with companywide training and development of programs regarding ethics and international compliance issues, such as FCPA, international bribery acts, OFAC and similar sanctions programs, anti-boycott laws, anti-trust, and export controlsAssist the General Counsel and the legal team with managing claims or disputesProvide support for other special corporate projectsHere's What You Need:

J.D. degree from an accredited, top tier law school and admission to a State Bar and eligible for Corporate Counsel certificate from the Virginia State Bar10+ years of total experience, with 7+ years supporting a sales team to draft and negotiate Enterprise-level SaaS contracts.

SaaS experience is requiredWorking knowledge and experience with commercial contract terms and conditions with particular emphasis on the protection of intellectual property, confidentiality and minimizing liabilities and risksKnowledge of intellectual property law and software licensingProven analytical, written and verbal communication, and negotiation skillsSelf-starter with the ability to prioritize and undertake mission critical tasks in a fast-paced and deadline-oriented environment, provide exceptional service to various stakeholders, and manage requirements of a dynamic sales forceAccuracy and attention to detail are essential requirements for this positionStrong multitasking skills to be able to move and track multiple projects to completionExcellent interpersonal, written and oral communication skills, as well as a team player attitudeIn-house experience at a technology company preferredPrior legal experience with compliance/privacy and other regulatory matters is preferredProficiency with Salesforce is preferredExperience with a contract lifecycle management tool preferred
