The Silicon Valley office of Hogan Lovells US LLP, which houses one of the largest and most sophisticated transactional M&A practices in California, is seeking a senior associate with a minimum of five years of strategic M&A experience to support the office's growth plan. This is an opportunity to work closely with and learn from some of the most widely recognized M&A practitioners in the country.
The ideal candidate will have in-depth experience in: drafting and negotiating acquisition agreements and other transaction documents relating to acquisitions of both publicly traded and privately held companies; overseeing due diligence investigations of acquisition targets; preparing acquisition-related proxy statements, tender offer documents, information statements and other disclosure documents; and organizing closings of complex M&A transactions.
Applicants should be familiar with structuring M&A transactions, with the application of the federal securities laws to M&A transactions and with Delaware jurisprudence relating to directors' responsibilities in the M&A area. Experience in working with publicly traded technology companies is also desirable. A strong work ethic and comfort supervising, managing and otherwise working with large deal teams on complex transactions is required. Associates at this level are expected to be prepared to devote substantial time to continuing to develop their transactional M&A skills and expertise and to mentoring and training junior M&A associates. An interest in M&A thought leadership and knowledge management is also a plus, as is experience working with M&A-related financial advisors.

Compensation for this role will be top-of-market, with an annualized salary range of $365,000 to $435,000, depending on the candidate's overall experience and other job-related factors. This position may be eligible for a discretionary or an hours-based bonus, consistent with market practice. In addition, this position will be eligible for the firm's fringe benefits as they currently exist. Please note that the firm maintains a hybrid work policy. Fully remote candidates will not be considered.
