We are seeking a Corporate M&A Attorney to join our dynamic team in the technology industry. This position will offer the successful candidate the opportunity to work on complex M&A transactions, corporate governance, and other corporate matters. The ideal candidate will have a strong background in M&A, corporate law, and stock and asset purchase agreements, with a deep understanding of the business and legal issues that may arise in these areas. This is a permanent, full-time position that offers a competitive salary and benefits package.

Responsibilities:

  • Lead and manage all aspects of M&A transactions, including drafting and negotiating definitive agreements, conducting due diligence, and coordinating closing.
  • Work closely with the company's executive team to develop and implement corporate strategies.
  • Provide legal advice on a wide range of corporate matters, including corporate governance, securities law compliance, and general corporate law.
  • Draft, review, and negotiate a wide variety of corporate documents, including stock purchase agreements, asset purchase agreements, operating agreements, and other related documents.
  • Collaborate with other departments to ensure that corporate strategies are legally sound and comply with all relevant laws and regulations.
  • Manage relationships with external counsel and oversee their work on M&A transactions.

Qualifications:

  • J.D. from an accredited law school and a license to practice law in the relevant jurisdiction.
  • Minimum of 5 years of experience in corporate law, with a focus on M&A
  • Proven track record of managing complex M&A transactions from start to finish.
  • Strong knowledge of corporate law, securities law, and M&A law.
  • Experience with stock and asset purchase agreements, operating agreements, lending and borrowing transactions, and other related corporate documents.
  • Strong negotiation skills and the ability to find creative solutions to complex legal and business issues.
  • Excellent written and verbal communication skills.
  • Ability to work independently and as part of a team.
  • Strong analytical skills and attention to detail.
