A law firm seeks a skilled and dynamic attorney to join its Corporate M&A/Private Equity group in San Francisco, CA. The ideal candidate will have 4-7 years of experience in corporate law, with a focus on mergers and acquisitions (M&A) and private equity transactions. Duties:
- Advise clients on a variety of corporate matters, focusing on mergers, acquisitions, and private equity transactions.
- Draft and negotiate key documents related to M&A and private equity deals, including purchase agreements, shareholder agreements, and term sheets.
- Provide strategic counsel to clients on complex corporate structuring and financial matters.
- Collaborate with colleagues across various practice areas to ensure comprehensive legal advice for clients.
- Represent clients in negotiations, managing client relationships, and advising on potential legal risks.
- Stay informed on the latest legal developments and trends in M&A and private equity, applying this knowledge to benefit clients.
Requirements:
- 4-7 years of experience in corporate law with a focus on M&A and private equity.
- Proven track record of handling complex corporate transactions and negotiations.
- Strong analytical skills and the ability to assess legal and business risks.
- Excellent written and verbal communication skills.
- Ability to work efficiently both independently and as part of a team.
- High level of professionalism and client-focused approach.
Education:
- Juris Doctor (JD) degree from an ABA-accredited law school.
- Strong academic credentials.
Certifications:
- Admission to the California State Bar or eligibility to gain admission promptly.
Skills:
- Expertise in corporate law, specifically M&A and private equity transactions.
- Proficiency in drafting and reviewing corporate legal documents.
- Excellent negotiation and communication skills.
- Ability to manage multiple complex transactions and deadlines.
- Strong problem-solving abilities with a commercial mindset.
- Client relationship management skills, with the ability to build long-term partnerships.
