Position Overview: The
Senior Corporate Counsel
will serve as a key member of the legal team, providing strategic legal advice and transactional support on corporate M&A, joint ventures, project acquisitions, equity investments, and other complex transactions. This role will work closely with executive leadership, corporate development, and finance teams to help drive the company’s growth strategy in the renewable energy sector. Key Responsibilities: Lead and manage legal aspects of corporate M&A transactions, including due diligence, transaction structuring, drafting and negotiating term sheets, purchase and sale agreements, joint venture agreements, and other related documents. Provide strategic legal counsel on corporate development initiatives, including project and platform acquisitions, minority investments, partnerships, and joint ventures. Advise on legal and transactional matters related to financing arrangements, tax equity investments, and development agreements. Oversee external legal counsel in connection with transactions and other corporate matters. Support corporate governance initiatives, including board and committee materials, organizational structure, and subsidiary management. Provide day-to-day legal support to internal stakeholders, including executive leadership, business development, finance, and operations teams. Stay current on legal, regulatory, and market developments affecting renewable energy transactions and corporate governance. Qualifications: Juris Doctor (JD) from an accredited law school and active membership in good standing with a U.S. state bar. Minimum of
6–10 years of relevant legal experience , with a strong background in M&A, joint ventures, and corporate transactions. Experience in the renewable energy, energy infrastructure, or broader power and utilities sector highly preferred. Strong transactional drafting, negotiation, and project management skills. Ability to manage multiple projects and deadlines in a fast-paced, collaborative environment. Exceptional business acumen, with a practical, solutions-oriented approach to legal issues. Preferred Experience: Prior in-house counsel experience within a renewable energy developer, infrastructure investor, or independent power producer (IPP). Currently in Associate in Big Law but are keen to make the move in-house. Familiarity with project finance, tax equity structures, and energy market regulations (FERC, ISOs/RTOs) Seniority level
