Fluency in both Mandarin and English is required for this position. Duties Provide strategic legal counsel to clients on a wide range of corporate matters, including securities offerings, mergers and acquisitions, and general corporate law. Advise clients on SEC regulations, '33 Act Registration Statements, ’34 Act periodic filings, and other regulatory requirements. Handle complex corporate transactions, including PIPEs, equity financings, and general corporate governance. Perform SEC research and assist clients in navigating compliance and regulatory issues. Manage client relationships proactively, ensuring their needs are met with the highest degree of professionalism and efficiency. Collaborate with internal teams to provide comprehensive legal support for corporate clients, including high-growth businesses and investors. Requirements Fluency in both Mandarin and English is mandatory. Admission to the New York State Bar. Authorized to work in the United States. Minimum of 3-5 years of experience in securities, corporate law, and related fields. Strong understanding of SEC regulations, corporate law, mergers & acquisitions, and securities offerings. Proven ability to manage client relationships and provide proactive, strategic legal guidance. Exceptional attention to detail and excellent communication skills. Education JD from an accredited law school. Certifications New York State Bar admission is required.
