Counsel pre-IPO and public companies on disclosure, corporate governance, and compliance with SEC and stock exchange requirements Assist with capital market transactions, including IPOs, public offerings, and other securities transactions for issuers and underwriters Advise clients on corporate matters related to mergers & acquisitions, venture capital, and seed financings Manage client relationships and address their day-to-day legal needs Collaborate with colleagues to provide comprehensive legal support to clients in the start-up and venture capital ecosystem Requirements
1 to 3 years of experience with IPOs, capital markets transactions, and public company representation Familiarity with venture capital financing, mergers & acquisitions, and working with start-ups and emerging growth companies is a plus Strong client management skills with a collaborative and team-oriented approach Education
Juris Doctor (J.D.) degree, ideally from the graduating classes of 2021 to 2023 Certifications
Admitted to practice law in California or eligible for admission Skills
Proficient in corporate governance, SEC compliance, and capital markets law Strong analytical, drafting, and communication skills Ability to work effectively in a fast-paced and client-focused environment Interest in working with clients in the start-up and venture capital sectors
