A law firm seeks an experienced Corporate Attorney with a strong entrepreneurial focus to join its team in a dynamic business law practice. The ideal candidate will have at least five years of experience handling a range of corporate transactions, including mergers and acquisitions, private equity investments, debt financings, licensing agreements, and general corporate governance. While a portable book of business is preferred, it is not required. The successful candidate will work collaboratively with colleagues across various legal areas, such as employment law, real estate, securities, and tax law.DutiesRepresent clients in a wide range of corporate transactions, including mergers and acquisitions, private equity investments, and debt financings.Draft, review, and negotiate licensing agreements and other contractual arrangements.Advise clients on general corporate governance matters, ensuring compliance with legal regulations.Provide legal counsel on securities law matters, if applicable, and assist in related transactions.Collaborate with attorneys in related practice areas such as employment, real estate, securities, and tax law to deliver comprehensive legal services to clients.Build and maintain strong client relationships through effective communication and legal guidance.Stay current with changes in corporate law, regulatory developments, and industry trends to provide proactive legal advice.RequirementsMinimum of 5 years of experience practicing corporate law, with expertise in mergers and acquisitions, private equity, debt financing, and corporate governance.Proven ability to manage complex corporate transactions and work independently.Strong drafting, negotiation, and communication skills.Experience in securities law is a plus.Ability to work collaboratively with colleagues across multiple legal disciplines.EducationJuris Doctor (JD) degree from an accredited law school.CertificationsActive bar membership in the state where the candidate will be practicing.SkillsExpertise in corporate law, with a focus on M&A, private equity, and corporate governance.Strong legal drafting and negotiation abilities.Excellent interpersonal and client relationship management skills.Strong attention to detail and organizational skills to handle multiple transactions concurrently.Collaborative approach to working with a multi-disciplinary legal team.This role provides an excellent opportunity for a corporate attorney looking to grow their practice in a collaborative, entrepreneurial environment.
