Intellectual Property Counsel will be responsible for intellectual property (IP) legal matters, including patent, trade secret, trademark and copyright. The Intellectual Property Counsel will, among other responsibilities, work with outside counsel and the R&D leaders on patent prosecution, assist with due diligence reviews and assist with drafting and negotiating IP-related agreements.Essential Duties
Include, but are not limited to, the following:Advise on all IP matters, including patents, trade secrets, trademarks, and copyrightsImplement the company’s IP strategyEvaluate inventions to determine patentability and freedom-to-operateReview, draft, negotiate, interpret and advise on IP-related agreements, such as non-disclosure agreements, material transfer agreements, research agreements, and license agreements, and IP provisions in contracts.Assist in IP-related diligence and integration for merger and acquisition activities; collaborate with the business development team regarding IP acquisition strategies, including in-licensing, joint ventures and acquisitions and work as part of the team to implement those strategies.Collaborate with the litigation team and outside counsel regarding IP enforcement strategies; conduct infringement assessments.Review proposed publications regarding potential invention disclosure issues.Support and comply with the company’s Quality Management System policies and procedures.Regular and reliable attendance.Apply strong drive and willingness to own projects and see them to completion.Strong analytical skills.Uphold company mission and values through accountability, innovation, integrity, quality, and teamwork.Ability to act with an inclusion mindset and model these behaviors for the organization.Ability to work on a mobile device, tablet, or in front of a computer screen and/or perform typing for approximately 90% of a typical working day.Ability and means to travel between local Exact Sciences locations.Ability to travel up to 30% of working time away from work location, may include overnight/weekend travel.Apply uncompromising honesty and integrity; high level of professionalism; ethical behavior.Minimum Qualifications
Ph.D. in Biology, Molecular Biology, Cell Biology, Immunology, Biochemistry, or other life sciences fieldJ.D. from an accredited law school.Must hold and maintain an active license to practice law.Registered to practice before the United States Patent and Trademark Office.Minimum of 3 years of relevant legal experience as an intellectual property attorney with comprehensive technical knowledge of intellectual property laws, rules and regulations.Authorization to work in the United States without sponsorship.Demonstrated ability to perform the Essential Duties of the position with or without accommodation.Preferred Qualifications
In-house experience preferred.Salary Range:
$143,000.00 - $228,000.00
The annual base salary shown is for this position located in US - CA - San Diego on a full-time basis and may differ by hiring location.
