Our company is seeking a seasoned Corporate Attorney to join our dynamic legal team. This is a permanent position that offers a challenging and rewarding opportunity to work in a fast-paced environment. The Corporate Attorney will be responsible for providing legal advice and counsel to our organization on a wide range of corporate legal matters. This includes transactional, real estate transactions, contract reviews, equity formations, corporate law, and corporate governance.
Responsibilities:
The Corporate Attorney will be responsible for:
- Providing legal advice and guidance on all kinds of legal matters such as corporate law, real estate transactions, equity formations, and corporate governance.
- Drafting, reviewing, and negotiating a wide variety of corporate and commercial agreements, including mergers and acquisitions, joint ventures, and other strategic transactions.
- Ensuring compliance with all laws and regulations that apply to the business.
- Representing the company in legal proceedings, if necessary.
- Assisting in the development of company policies and procedures in compliance with all applicable laws and regulations.
- Providing training to company personnel on legal topics, as needed.
- Collaborating with outside counsel, as necessary.
Qualifications:
The ideal candidate for the Corporate Attorney position should have the following qualifications:
- A Juris Doctor (JD) degree from an accredited law school.
- Admission to, and a member in good standing of the Commonwealth of Massachusetts Bar.
- A minimum of 3 years of experience as a Corporate Attorney, preferably in a corporate legal department or law firm.
- Strong knowledge of corporate law, real estate transactions, equity formations, and corporate governance. Bankruptcy experience a plus!
- Proven experience in transactional work and contract review.
- Exceptional negotiation skills and the ability to interpret and draft legal documents.
- Strong analytical and problem-solving skills.
- Excellent communication skills, both written and verbal.
- Ability to work independently, manage multiple priorities, and work under pressure.
- High ethical standards and professionalism in dealing with confidential information.
