CFC has a need for a Senior Corporate Counsel to join the Legal Services team. This is a hybrid position requiring onsite work at our headquarters office in Sterling, VA, as well as optional remote workdays. The Senior Corporate Counsel provides counsel and advice to staff and mid-level managers on complex financing transactions. This position will draft and negotiate transaction documents that correctly interpret and apply CFC’s preferred terms, conditions, covenants and conditions for complex financing transactions.
As a Senior Corporate Counsel, you will:
Draft documents for complex financing transactions.Provide expert legal advice to legal and business teams in the execution of enterprise-wide initiatives.Be a key contributor on legal teams representing CFC in lending programs.Review & approve transaction documentation prepared by corporate counsel, paralegals & outside counsel.Develop skills of corporate counsel, paralegals & contracts personnel through effective coaching and mentoring.Supervise and coordinate workflow and work product of attorneys, paralegals, contracts personnel, and legal assistants.
To be successful, you will need:
JD from an ABA accredited law school.Active member in good standing of a state bar.Minimum 7 years of relevant experience in corporate financial transactions.Transactional experience in finance industry desired.Previous management experience desired.Advanced knowledge of complex commercial financing transactions.Advanced ability to draft and understand the implications of non-standard loan terms and conditions.Broad experience in legal research, writing, editing, drafting & analytical skills.Expertise in one or more specialty areas such as vendor contracts, corporate law, securities law or real estate law preferred.Knowing the current legal environment for, and understanding developments that affect, the utilities, cooperative and commercial financial services industries.Excellent customer service and organizational skills.Excellent leadership, coaching and mentoring skills.
