CFC has a need for a Corporate Counsel II to join the Legal Services team. This is a hybrid position requiring onsite work at our headquarters office in Sterling, VA, as well as optional remote workdays. The Corporate Counsel II will provide in-house legal support and advice to staff in complex corporate, finance and capital market transactions. This person will also draft and negotiate complex vendor contracts and corporate agreements.

As the Corporate Counsel II, you will:

Draft loan documents, contracts, other legal documentation, correspondence, resolutions, opinions and general corporate documents and agreements, including department procedures.Assist with the development and analysis of complex financing structures and legal consequences of various alternatives.Identify areas of legal risk and suggest proactive solutions to business representatives enterprise-wide.Maintain strong relationship with internal stakeholders, committees and task forces, as well as borrowers’ and co-lenders’ counsel, in order to provide legal advice and professional seminar presentations on legal topics.Perform legal research and write legal memoranda analyzing impact and providing recommendations.Manage outside counsel, including reviewing and providing advice on documentation prepared for corporate matters and loan syndications.Prioritize and direct projects and skill development of legal assistants and paralegals.

To be successful, you will need:

JD from an ABA accredited law school.Active member of a state bar.Minimum of 6 years of experience in commercial lending or corporate finance in a law firm or as in-house counsel.Advanced working knowledge of one or more specialty areas including capital markets, commercial lending, vendor contracts and corporate law.Advanced MS Office Suite, document management software and internet research skills.Advanced written and verbal communication skills.Proven legal analysis and legal writing skills.Proven ability to negotiate and represent the interests of the company in a professional manner.Proven ability to set priorities and manage multiple tasks.Ability to work with standard office equipment.Proven attention to detail and organizational skills.Ability to work independently with little supervision, as well as cooperatively in a team environment.
