Senior Counsel

Job SummaryProvides day to day legal advice across NMAC and as needed, across the enterprise. The Senior Counsel will play a key role in the review and negotiation of commercial contracts, procurement matters, and dealer agreements, including lending agreements with Nissan, Infiniti, and Mitsubishi dealers financing through NMAC, and will advise on workout scenarios with distressed dealers or counterparties.

A Day in the Life:

Draft, review, and provide legal support to commercial teams for automotive transactions, including the review and negotiation of vendor/supplier contracts.

Draft, review, and provide legal support to commercial teams for automotive transactions, including the review and negotiation of dealer agreements and financing arrangements, including wholesale, floorplan, sign, fleet, capital loans, real estate, and other financing arrangements.

Coordinate with internal parties as needed to resolve disputes, including advice concerning dealers in workout.

Prepare correspondence and agreements with dealers in workout scenarios, including demand for payment and declaration of events of default.

Managing a portfolio of real estate owned, including arranging for the disposition of assets in coordination with business partners.

Advise on industry, legal, and regulatory developments related to commercial contracting and commercial financing, including emerging trends and potential impacts.

Work closely with internal business partners to understand their perspectives, processes, applications, projects and technologies to ensure compliance with applicable laws, regulations, and best practices.

Create and present training for business clients on various legal matters.

Manage outside counsel, including by defining scope of engagement and supervising day-to-day activities.

Collaborate with fellow attorneys, paralegals, support staff and clients on projects, including representatives from the Company's regional business & legal departments across the globe and in varying time zones.

As necessary, perform other related duties of which the above are representative.

Manage various legal matters, disputes, litigation, and strategic projects as requested.

Provide corporate governance support as assistant corporate secretary as may be requested by the General Counsel and Board of Directors.

Who We're Looking for:

Excellent verbal and written communication skills.

Highly developed business and technical acumen to understand our business and anticipate the nature and magnitude of issues that could arise in various settings.

Experience working in a multinational corporation with cross-border affiliates is preferred.

Excellent legal research and writing skills; attention to detail.

Ability to communicate effectively with all levels of employees and leadership.

Be highly proactive, accountable, team-oriented, and capable of managing multiple competing priorities in a dynamic, cross-functional/cross-cultural business environment.

Proficiency with Word, Excel, and PowerPoint required.

Experience with Legal matter management and billing systems.

Years of Experience:

5+ years' experience as a practicing attorney advising on commercial transactions, commercial agreements, commercial finance, or with a sales finance company. Prior in-house and/or automotive experience is a plus.

Experience drafting and negotiating a variety of contracts, especially concerning financial services and vendor contracts and services.

Experience advising on workout scenarios, including with distressed dealers, and default arrangements.

Education

JD degree from ABA accredited law school; member in good standing of bar in state of practice and eligibility to become licensed or to register as In-House Counsel in Texas or Tennessee (depending on job location).
