The Corporate Counsel (CC) will serve as a key member of the Company's Legal Department and will primarily assist with managing the Company's U.S. government contracts and commercial contracts. Additional responsibilities will include assisting with general contract drafting, review, negotiation, and management; providing legal advice on an as needed basis to business units within the Company on a wide range of legal issues; and assisting with management of the Company's regulatory compliance. This role will report to the General Counsel & Compliance Officer (GC). This position can be either hybrid, or full time remote with limited travel.Authorities:
Review and approve contracts for the company. Recommend changes to the company's compliance program or general practices which may involve legal or regulatory liability in accordance with the strategic business plan. Oversee the ongoing continual improvement of the legal function utilizing best practices.Duties:Structure, negotiate, draft, and review a wide range of commercial agreements, including government contracts, supply agreements with vendors and customers, MOU/LOI, non-disclosure agreements, consulting agreements, terms and conditions of sale, and other commercial agreements, and provide advice, strategies, and solutions regarding the same.Provide legal counsel to the Commercial Team on contractual matters relating to Federal contract opportunities, including those governed by the Federal Acquisition Regulations (FAR), and Defense Federal Acquisition Regulations Supplement (DFARS).Provide legal counsel to the company's officers and other upper management on all legal, regulatory, and compliance matters, including but not limited to, government and customer contract requirements, corporate governance, employment law, environmental regulation, export-control regulations, real estate law, intellectual property law, and data privacy and security regulations.Draft, review, and approve policies and procedures, regulations, bylaws, and other legal documents to ensure the company is meeting its regulatory and contractual requirements.Promote legal, compliance, and risk management best practices throughout the company and ensure the provision of required compliance training to employees.Participate in acquisition due diligence relating to the company's legal and regulatory compliance.Support the development of the company's environmental, social, corporate governance (ESG) initiatives.Maintain professional growth and development through seminars, workshops, and professional affiliations to keep abreast of the latest developments in legal, regulatory, and compliance matters pertaining to the company.Job Qualification Requirements:Educational Experience:
J.D. from an accredited law school.Experience:
at least 5 years of law firm and/or in-house legal counsel experience.Physical Demands:
