PRIMARY PURPOSE:Simon Property Group is seeking an experienced and dedicated Senior Counsel – Corporate & Transactional to join our dynamic legal team. The ideal candidate will have expertise in corporate law, finance, capital markets and real estate, with a strong understanding of the unique legal challenges and opportunities in the real estate and investment sectors. This role involves providing legal guidance on a broad range of corporate and financial matters, supporting strategic transactions, and ensuring compliance with regulatory requirements.

PRINCIPAL ROLE:

The successful candidate’s responsibilities will include, but not be limited to:

Finance and Investment Matters:

Assist with structuring and negotiating legal documents in connection with financing, debt, equity and hybrid transactions.

Advise on equity investment structures and characteristics.

Review and analyze financial documents and agreements.

Partnership; M&A:

Provide legal support throughout transaction life cycle; manage due diligence, advise on structuring, negotiation and effectuation of closing and operational integration of joint ventures, partnerships, mergers, acquisitions and similar transactions.

Advise on domestic and international structuring issues.

Real Estate Transactions:

Provide legal support for real estate transactions, including acquisitions, dispositions, leasing, and development projects.

Oversee due diligence and manage legal risks associated with real estate deals.

Legal Risk Management:

Identify potential legal risks and develop strategies to mitigate them.

Handle legal disputes, litigation, and regulatory investigations as needed.

PREFERRED QUALIFICATIONS:

JD Degree from an accredited law school and be admitted to practice in one or more states (Indiana not required).

Minimum of 5 - 7 years of experience.

Strong knowledge of financial and commercial transactions, corporate governance and real estate transactions.

Familiarity with tax, accounting and financial reporting preferred.

Understanding of corporate governance and compliance matters (e.g., strong familiarity with documents such as bylaws, resolutions, consents and meeting minutes).

Excellent negotiation, drafting, and analytical skills.

Proven ability to manage multiple projects and prioritize effectively.

Strong interpersonal and communication skills, with the ability to work collaboratively with internal teams and external stakeholders.
