Key Responsibilities:
Assist attorneys in managing complex corporate transactions, including mergers, acquisitions, joint ventures, and corporate restructuring.
Draft, review, and file corporate documents such as bylaws, articles of incorporation, shareholder agreements, and other essential corporate governance materials.
Manage closing checklists and due diligence efforts, ensuring all required documents are prepared, organized, and timely filed.
Coordinate with international offices to facilitate cross-border transactions and ensure compliance with applicable laws and regulations.
Conduct legal research on corporate law and other relevant legal matters as needed.
Maintain and update corporate minute books, stock records, and ensure compliance with annual filing requirements.
Liaise with clients, opposing counsel, and regulatory authorities to ensure seamless execution of corporate matters.
What We’re Looking For:
Minimum of 5 years of corporate paralegal experience in a law firm or in-house legal department.
Exceptional organizational skills, with a strong ability to manage multiple tasks and prioritize effectively.
Proficiency in corporate governance and transaction management, with keen attention to detail.
Strong communication skills and the ability to work both independently and as part of a dynamic team.
