We are seeking a highly skilled and motivated Corporate Counsel - Commercial to join our global legal team. The ideal candidate will provide legal support and guidance on a wide range of commercial matters, including contract drafting, negotiation, and counsel on a broad range of legal and compliance issues. This role requires a strong understanding of commercial law, excellent negotiation skills, and the ability to work collaboratively with various departments and legal colleagues around the world. The highly connected nature of Hollister’s culture is nurtured through in-person interactions and is an important part of who Hollister is as a company. Therefore, a requirement for the role is to be present at Hollister’s company headquarters in Libertyville, Illinois, three days/week. Flexibility as to one’s work location is provided the other two days/week.Responsibilities:Draft, review, and negotiate a variety of commercial contracts, including vendor agreements, distribution agreements, service agreements, and supply agreements.Provide legal advice and support on commercial transactions, ensuring compliance with applicable laws and regulations.Collaborate with internal stakeholders to identify and mitigate legal risks associated with the business and manufacturing/operations in various domestic and international locations.Manage a contract request platform and delegate and complete contract assignments as needed.Provide support and review of advertising and promotional materials.Provide compliance support to various business units around the globe.Conduct legal & compliance training to various business units.Assist in the development and implementation of company policies and procedures related to commercial activities.Conduct legal research and stay updated on relevant laws, regulations, and industry trends.Support the legal team in other corporate matters as needed.Work Experience Requirements:Number of Overall Years Necessary: 8-12At least 8 years’ experience working in a recognized law firm and/or in-house, preferably with a global healthcare manufacturer, practicing domestic and international law in a variety of substantive legal areas, including contract, tenders, corporate, compliance, regulatory, employment, and other related commercial corporate matters. The experience should include direct support of sales and marketing groups.Education Requirement:Juris Doctor (JD) degree from an accredited law school.Specialized Skills/Technical Knowledge:Active membership in good standing with the Illinois state bar or ability to gain licensure in the state.Minimum of 8 years of experience in commercial law, in a corporate or in-house legal environment, preferably in a multinational medical device or healthcare company.Strong knowledge of contract law, commercial transactions, employment, and regulatory compliance.Familiarity with applicable laws relating to global manufacturing and to healthcare is a plus, as is awareness of other laws such as the U.S. Foreign Corrupt Practices Act and the U.S. False Claims Act and Anti-kickback Statute.Excellent interpersonal skills, with an ability to inspire trust and confidence with internal and external stakeholders with different cultural backgrounds, and proven ability to be a good team player.Strong written and verbal communication skills, including the ability to clearly and concisely articulate complex legal concepts to a lay audience.Ability to issue spot and provide incisive, practical and business-focused counsel to protect Hollister’s interests in a variety of diverse jurisdictions.Ability to work independently and as part of a team in a fast-paced environment.Business-minded individual able to explain complex legal points to business leaders and non-legal audiences.Knowledgeable in privacy, cybersecurity, and related data protection issues.Ability to cost-effectively and proactively engage, lead, and manage outside counsel on a global basis.Strong analytical and problem-solving skills.High ethical standards and professional integrity with flexibility and ability to adapt to changing priorities.About Hollister Incorporated:Hollister Incorporated is an independent, employee-owned company that develops, manufactures and markets healthcare products worldwide.
