Our highly prestigious, mid-size Chicago based law firm has an immediate need for a high-performing and experienced Corporate Paralegal in their Newport Beach office. The ideal candidate will have 5 plus years of related corporate paralegal experience and will be responsible for for research, corporate filings, drafting documents, assisting on deals (including drafting ancillary documents, assembling signature page packets and compiling final, executed documents) and other tasks and duties as assigned. and will be responsible for all aspects of corporate

scott@esquire-recruiting.comRESPONSIBILITIES:General corporate governance, including entity formation; preparing stock certificates; drafting documents for amendments, withdrawals, mergers, conversions and dissolutions of corporations, partnerships and LLCs.Assist with corporate transactional and venture capital work, including conducting UCC/lien searches as part of due diligence process, closings of acquisition, security filings (including blue sky filings), merger and reorganization transactions.Draft and file annual reports and similar filings for corporations and limited liability companies in Delaware, Illinois, California and other states to maintain good standing for entities.Corporate Minute Book maintenance.Process Statutory Registered Agent invoices.Athennian Database maintenance.REQUIREMENTS:Bachelor’s degree and/pr paralegal certificate with a minimum of five or more years of experience.Law firm experience preferred.Dependable team player who works collaboratively and cooperatively with others in a team-oriented environment.Ability to organize and manage multiple priorities simultaneously in a fast-paced, deadline-driven, detail-oriented work environment, adapt to changes in workflow, and ensure work is completed within defined deadlines. Proactive with excellent troubleshooting, problem resolution, and follow-through skills.Possess excellent knowledge of reading, writing, grammar, spelling, punctuation, proofreading, and formatting to interpret source data, prepare corporate transactional documents and forms, proofread material for grammatical, typographical, and spelling errors, and perform file maintenance.Athennian database and Carta platform experience preferred.Able to work in a typical office setting and operate office equipment, including computer, copier, scanner.Able to sit and/or stand for prolonged periods of time.Able to view and read computer screens and printed documents, often for prolonged periods of time.OTHER SKILLS AND ABILITIES:The following will also be required of the successful candidate:Excellent writing skillsStrong organizational skillsStrong attention to detailGood judgmentStrong interpersonal communication skillsStrong analytical and problem-solving skillsAble to work harmoniously and effectively with othersA self-starter who desires to show ownership and commitment to the jobAble to preserve confidentiality and exercise discretion
