We are conducting a search for an experienced Corporate Paralegal to join a top-rated international law firm in San Francisco. Candidates need at least 5 years of recent experience at a large law firm.
What You'll Bring:
General corporate work, including entity formation; drafting board and stockholder consents and meeting minutes; generating stock certificates; drafting documents for amendments, withdrawals, mergers, and dissolutions of corporations, partnerships, and LLCs; familiarity with DocuSign; and proficiency in Carta and other cap table management tools.Equity financings, encompassing LLC financings, venture capital financings, and proficiency in preparing and coordinating securities filings, such as Form ID, Form D, and state blue sky filings.Mergers and acquisitions, including: overseeing data rooms and coordinating due diligence; creating and maintaining closing checklists; drafting board and stockholder consents; and managing signings and closings.Experience in secured financing transactions and UCC filings is advantageous, though not a strict requirement.Successful candidates should boast exceptional academic credentials, excellent drafting, writing, and analytical skills, meticulous attention to detail, a high level of organizational aptitude, the ability to manage multiple projects concurrently, and strong verbal and interpersonal communication skills.
