Primarily provides corporate counsel to Kubota North America R&D function across all North America subsidiaries and affiliates, with a focus on commercial matters, IP licensing, technology, and intellectual property, generally. This role could lead to future leadership opportunities within the legal department.PRINCIPAL ACTIVITIES:
This position does the following in accordance with all applicable Federal, State and local laws / regulations and the Company’s policies, procedures and guidelines:Independently draft, review and negotiate various types of agreements including but not limited to services agreements, license agreements, service and parts orders, joint product agreements, vendor agreements, confidentiality agreements, warranties, and intercompany agreements, primarily arising from R&D groups in North America.Work within the Contract Management team in the Legal team to establish and improve processes and procedures related to commercial contracts.Collaborate with the IP Team to develop new processes and procedures related to intellectual property contracts and provisions.Draft/create new contract templates, standards and processes for vendor contracts for multiple Kubota entities.Assist with the development and cross-training for existing and new policies and procedures, especially those related to technology development, intellectual property, and R&D.Advise Kubota entities on all aspects of commercial contracting, including providing guidance on, as well as negotiation, drafting and termination of supply contracts, services agreements, OEM and contract manufacturing agreements.Provide strategic contract guidance to Kubota entities and internal stakeholders to ensure compliance with existing contracts.Support the risk management function and regulatory compliance in areas such as data security, privacy, import controls, intellectual property management, as needed.Other responsibilities as assigned by management.MINIMUM QUALIFICATIONS:Licensed by a state bar association.At least 5 years of legal experience, with some preference for those familiar working within a corporate setting.Working knowledge of commercial law, insurance law, contract law, employment law, intellectual property, and general legal principles.Less than 10% travel.EQUIPMENT OPERATION:Office equipment including computer, copier, phone, printer.PHYSICAL REQUIREMENTS:Typical office environment.
