The Corporate Counsel will assist in the administration and support of Gleason’s Intellectual Property Program and support of Gleason’s ESG and Compliance Programs as well.Job Responsibilities:Commercial TransactionsReview, draft, and negotiate a wide range of agreements for internal client groups including but not limited to non-disclosure agreements, licensing agreements, vendor and supplier agreements, sales agreements and terms and conditions of sale/purchase, leases, and other commercial transactional support.Provide legal support to various departments in the company on transactional matters, ensuring that contracts and deals comply with internal policies, risk tolerances and sound business practices.Identify issues and risks, recommending potential solutions, and identifying trends relating to regulatory matters, intellectual property, employment law, privacy and data protection.Collaborate in the continuing development of the Company’s commercial contract templates and terms and conditions to develop a scalable, business-centric approach to commercial agreements.Develop and operationalize policies, training, templates, and workflows to allow business teams to move quickly while addressing key risks in substantive areas.Support global legal entity management of the organization.Consult with and oversee work by outside counsel.Research and advise on legal issues impacting the organization.Intellectual Property SupportIP Portfolio Management:

Assist in managing the company's intellectual property portfolio, including trademarks, patents, copyrights, and trade secrets.IP Enforcement and Defense:

Work with internal resources and external counsel to enforce the company’s intellectual property rights and defend against claims of infringement.Licensing and IP Agreements:

Draft and negotiate intellectual property agreements, such as licensing agreements, and joint development agreements.IP Strategy:

Support the development and implementation of the company's intellectual property strategy in alignment with its business objectives.Litigation, Compliance and Risk ManagementServe as a trusted legal advisor concerning regulatory compliance matters involving Gleason’s global business.Assist with developing and updating critical documents, policies, standard operating procedures, handbooks, and other communications in compliance with federal, state, and local laws.Assist in the development and implementation of corporate policies and procedures. Provide training to the company's employees on compliance-related topics.Identify potential areas of compliance vulnerability and risk; develop and implement corrective action plans for resolution of problematic issues.Assist General Counsel in managing litigation and other disputes involving the Company with the ability to drive practical and strategic decisions.Qualifications (Knowledge, Skills & Abilities):Strong organizational, time management and communication skills – ability to multi-task.Must be a self-starter, highly motivated and possess a strong work ethic, and demonstrate an ability to operate independently.Strong command of a wide variety of commercial transactions and the curiosity to further develop in other areas of the law, including regulatory compliance and employment law.Ability to analyze data, draw conclusions and present findings in written or presentation form.Ability to work collaboratively within a team environment and interact effectively with individuals at all levels of the organization.Ability to apply good business judgment in connection with providing legal advice to the business.Preferred Education/Training/Experience:Juris Doctorate required from an ABA-accredited law school and a valid license to practice law in New York State or admission to the Bar in at least one state with the ability to obtain in-house registration in New York.3-5+ years of law firm experience, ideally with in-house experience.Experience working in or with clients in the manufacturing industry is a plus.Computer Skills:High degree of proficiency with Microsoft Office (Word, Excel, PowerPoint, and Outlook)Travel Requirements:Occasional travel – day and overnight may be required.The salary range in this posting depends on qualifications and experience.
