A law firm is seeking a highly motivated Block-Chain Associate Attorney to join its team in Menlo Park, CA. The ideal candidate will have a deep understanding of blockchain technology, emerging companies, and venture capital, with 2-4 years of relevant experience in a major law firm. This role involves advising blockchain companies at all stages of growth on venture capital financings, token issuances, corporate structuring, and DAO formation. The candidate will navigate evolving regulatory landscapes and work on general venture capital and tech company corporate transactions.Key Responsibilities:
Advise blockchain companies on venture capital financings, token issuances, and general corporate structuring.Assist clients with decentralized autonomous organization (DAO) formation and governance.Guide clients through complex and evolving regulatory frameworks related to blockchain and cryptocurrency.Provide legal counsel on corporate transactions involving tech companies and startups.Stay current on industry trends, regulatory updates, and legal developments in blockchain, cryptocurrency, and fintech sectors.Draft, review, and negotiate a wide range of contracts and transactional documents.Work collaboratively with venture capital teams on deal structuring and execution.Ensure compliance with state, federal, and international laws related to blockchain technology and cryptocurrencies.Support due diligence processes and risk assessments for venture capital investments and other corporate deals.Required Qualifications:
2-4 years of experience in Emerging Companies Venture Capital and/or Blockchain/Crypto law within a major law firm.Deep knowledge and passion for blockchain technology and related regulatory challenges.Proven track record of advising on corporate transactions, venture capital financing, and token offerings.Familiarity with DAO formation and governance.Strong academic credentials with a J.D. from an accredited law school.Excellent written and verbal communication skills.Superior interpersonal skills for managing client relationships and working in a collaborative environment.Highly motivated and able to manage multiple projects in a fast-paced environment.Education:
Juris Doctor (J.D.) degree from an accredited law school.Certifications:
Active membership in the State Bar of California.Skills:
Expertise in blockchain technology, cryptocurrency, and fintech legal issues.Strong knowledge of venture capital financing and corporate structuring.Ability to navigate complex and evolving regulatory frameworks.Exceptional contract drafting, review, and negotiation skills.Strong analytical and problem-solving abilities.Ability to manage multiple client matters simultaneously.Strong collaboration skills, working with cross-functional teams.Excellent attention to detail and organizational skills.
