A law firm is seeking a highly experienced and dynamic associate attorney in Venture Capital and Emerging Companies to join its Los Angeles office. This role requires a seasoned professional with extensive experience in the venture capital industry, strong leadership capabilities, and exceptional client-facing skills. The successful candidate will lead deal teams, manage transactions from inception to closing, and provide innovative solutions to meet client needs.Duties:Lead deal teams and manage venture capital transactions from inception through closing.Provide strategic advice and counsel to clients in the venture capital and emerging companies sectors.Draft, review, and negotiate various transaction documents, including term sheets, stock purchase agreements, and investor rights agreements.Conduct due diligence and manage all aspects of the transaction process.Collaborate with multidisciplinary teams across the firm’s capabilities and practice areas.Develop and maintain strong client relationships, acting as the primary point of contact.Provide guidance and mentorship to junior associates and support staff.Stay updated on industry trends, regulatory changes, and best practices.Requirements:Minimum of 4 years of solid venture capital industry experience.Demonstrated ability to lead deal teams and manage transactions from inception through closing.Excellent written and verbal communication skills.Strong client-facing skills with the ability to interact directly with clients.Effective problem-solving capabilities and the ability to work independently and proactively.Creative thinker who can develop innovative solutions to meet client and team needs.Excellent team player with the flexibility to engage and collaborate across the firm’s practice areas.Advanced knowledge of Excel, including cap table, exit waterfall, and other financial modeling tools.Bar membership in good standing in California.Education:Juris Doctor (JD) degree from an accredited law school.Certifications:Active bar membership in California.Skills:Proficiency in drafting and negotiating complex transaction documents.Strong analytical and research skills.High level of attention to detail and organizational skills.Ability to manage multiple projects and deadlines in a fast-paced environment.Strong interpersonal skills and the ability to work effectively with clients, colleagues, and other stakeholders.Advanced proficiency in Microsoft Excel and other financial modeling tools.Company info
