Extreme is looking for a highly skilled and experienced Senior Commercial Counsel to join our legal team to support commercial transactions worldwide. You will play a critical role in providing sound legal advice and guidance on a wide range of commercial and contractual matters across the globe. Your primary responsibilities will include drafting, reviewing, and negotiating complex commercial technology agreements, assessing potential risks, and ensuring compliance with relevant laws and regulations. You will collaborate closely with internal stakeholders, including senior executives, sales teams, and various departments, to support commercial objectives while managing risks to the company. This position will be remote.Essential Duties and Responsibilities:
Your primary internal clients are from Extreme’s Sales organization. You will also work closely with stakeholders at all levels from Distribution and Sales Operation, Revenue Recognition, Logistics, Order Management, and Finance teams.You will use your in-depth experience in drafting and negotiating a wide range of agreements relating to hardware/software distribution, channel partner resale, direct sale, managed service providers, OEMs, software licensing, cloud services, Software-as-a-Service (SaaS), professional services, subscriptions, consulting, and sponsorships.Closely collaborate with Extreme’s legal team, Extreme’s business leaders, and other key stakeholders, to manage complex commercial related matters throughout the sales process.Advise and help train Sales and Sale Operations on company policies and deal processes.Participate in cross-functional teams to provide legal support and guidance on various business initiatives, product launches, and strategic partnerships.Proactively perform issue spotting and effectively counsel clients in new businesses and go-to-market programs.Provide pragmatic advice to business leaders and corporate staff on legal risks associated with sales deals and related transactions.Support continuous improvement of standard form agreements, policies, and legal processes related to commercial transactions.Role will have management responsibilities.Desired Skills and Experience:
J.D. from a U.S. law school.Active membership in at least one U.S. state bar and in good standing in the jurisdiction in which the candidate is located.A minimum of 12 years of relevant experience managing, negotiating, and closing complex commercial transactions, some of which was at a law firm and some of which was in a corporate legal department.Strong candidates are proactive and solutions-driven with direct experience with networking technology, IT, software as a service, and/or subscription models.Proficiency with commercial laws, intellectual property, anti-competition, government contracts, privacy issues, and the general corporate compliance scheme.Superior verbal and written communication, analytical, and interpersonal skills.Ability to communicate effectively and succinctly with stakeholders across the company on multifaceted issues and complex legal issues.Ability to work efficiently with cross-functional teams and manage numerous projects simultaneously within deadlines.Has a good grasp on real-world business scenarios and able to provide legal advice on which internal clients can operationalize.Takes a business-savvy, creative approach to problem-solving.Strong organizational and prioritization skills.Ability to judge when to escalate identified issues.Collaborative demeanor.Ability to influence at varying levels of the organization.Can work independently to drive key initiatives as well as function as part of a team to collaboratively achieve success for the team.Certifications in the areas of data privacy or information security is a plus.Great sense of humor.The estimated base salary range for this role is $157,000 - $250,000.Extreme Networks, Inc.
