This role provides an excellent opportunity to work in a dynamic and collaborative legal environment, handling complex compensation and benefits issues while advising on high-stakes transactions.DutiesDraft and negotiate executive employment agreements.Develop, implement, and manage equity incentive plans, including profits interest plans.Advise on the compensation and benefits aspects of mergers and acquisitions.Ensure compliance with applicable legal and regulatory requirements regarding executive compensation.Provide counsel on corporate governance and disclosure related to executive compensation.Assist in negotiating retention and severance agreements.Collaborate with other legal and business professionals to address cross-functional legal issues.RequirementsRelevant experience in executive compensation and employee benefits.Experience working on mergers and acquisitions in a legal context.Strong drafting and negotiation skills.Knowledge of corporate governance and executive compensation rules.Experience advising C-suite executives or boards of directors on compensation matters.EducationJuris Doctor (J.D.) from an accredited law school.Admission to the Bar in the relevant state(s), preferably Nevada.CertificationsActive membership in good standing with a State Bar.SkillsExceptional written and oral communication skills.Strong organizational and project management abilities.Detail-oriented with a focus on accuracy.Ability to work effectively under pressure and meet deadlines.Collaborative mindset with the ability to work in a team environment.
